ANALISIS DIVESTASI SAHAM PT ABC OLEH PT XYZ

Populasi Masyarakat Indonesia yang terus bertambah dan urbanisasi yang pesat, menghadapi tantangan serius dalam memenuhi kebutuhan air bersih. Jakarta, sebagai pusat ekonomi dan saat ini masih sebagai pusat pemerintahan, menjadi salah satu wilayah yang paling merasakan dampak krisis air bersih. Permintaan akan air bersih terus meningkat seiring dengan pertumbuhan populasi dan aktivitas ekonomi, sementara ketersediaan sumber daya air semakin terbatas. Proyek Sistem Penyediaan Air Minum (SPAM) dalam rangka pemenuhan kebutuhan air minum di wilayah DKI Jakarta, Kota Bekasi, Kabupaten Bekasi dan Karawang (“SPAM ABC”) telah diinisasi pemerintah melalui skema Kerja Sama Pemerintah dan Badan Usaha (KPBU). Saat ini SPAM ABC dilaksanakan oleh PT ABC sebagai Badan Usaha Pelaksana (BUP) yang dibentuk oleh PT XYZ, PT A dan PT B. Namun, meskipun proyek ini menunjukkan prospek jangka panjang yang menjanjikan dengan skema take or pay, PT XYZ selaku pemegang saham mayoritas mengalami kesulitan finansial yang mengharuskan divestasi pemilikan sahamnya pada PT ABC. Studi ini memiliki tujuan untuk melakukan analisis pengaruh faktor perekonomian, industri dan kondisi internal perusahaan terhadap free cash flow masa depan saham PT ABC serta melakukan analisis nilai saham untuk pelaksanaan divestasi saham PT ABC oleh PT XYZ mengunakan model Discounted Cash Flow dengan pendekatan Free Cash Flow to Firm (FCFF) dan Free Cash Flow To Equity (FCFE).

Indonesia's growing population and rapid urbanization pose serious challenges in meeting the demand for clean water. Jakarta, as the center of the economy and currently still the center of government, is one of the areas most affected by the clean water crisis. Demand for clean water continues to increase along with population growth and economic activity, while the availability of water resources is increasingly limited. The Drinking Water Supply System (SPAM) project in order to meet drinking water needs in the DKI Jakarta, Bekasi City, Bekasi Regency and Karawang areas (“SPAM ABC”) has been initiated by the government through the Government and Business Entity Cooperation (PPP) scheme. Currently SPAM ABC is implemented by PT ABC as the Implementing Business Entity (BUP) formed by PT XYZ, PT A and PT B. However, although this project shows promising long-term prospects with a take or pay scheme, PT XYZ as the majority shareholder is experiencing financial difficulties which require divestment of its share ownership in PT ABC. This study aims to analyze the influence of economic factors, industry and internal conditions of the company on the future free cash flow of PT ABC shares and analyze the value of shares for the divestment of PT ABC shares by PT XYZ using the Discounted Cash Flow model with the Free Cash Flow to Firm (FCFF) and Free Cash Flow To Equity (FCFE) approaches
