Evaluasi Pasca Merger PT Pelabuhan Indonesia I, II, III, dan IV (Persero) Menjadi PT Pelabuhan Indonesia (Persero)

Merger empat Pelabuhan BUMN ini merupakan langkah strategis yang dipakai oleh Pemerintah dengan tujuan untuk meningkatkan performa, daya saing dan peningkatan konektivitas ke pasar global serta pengelolaan Pelabuhan dapat dilakukan secara tersentralisasi dan lebih optimal. Dengan dilakukannya merger, Pemerintah berharap Pelindo akan memiliki modal dan asset yang besar, dengan ditopang performa keuangan yang sehat, sumber daya manusia yang kompeten, dan sistem teknologi informasi yang mampu bersaing dengan Pelabuhan-pelabuhan besar lainnya secara global.

Tujuan dari penelitian ini adalah untuk memahami dampak merger pada empat Pelabuhan BUMN, yaitu PT Pelabuhan Indonesia I (Persero), PT Pelabuhan Indonesia II (Persero), PT Pelabuhan Indonesia III (Persero), dan PT Pelabuhan Indonesia IV (Persero) dengan menganalisis kinerja keuangan, kinerja operasional, dan kinerja administrasi perusahaan sebelum dan setelah merger serta faktor-faktor yang menentukan keberhasilan dalam merger pada BUMN terutama sektor pelabuhan.

Metode penitian yang digunakan adalah menggunakan pendekatan kuantitatif dengan melakukan analisis deskriptif komparatif yaitu membandingkan dua keadaan sebelum dan setelah terjadinya kejadian, dimana  dalam  penelitian  ini  bisa  diketahui  adanya perbedaan kinerja keuangan, kinerja operasional, dan kinerja administratif  PT Pelabuhan Indonesia (Persero) sebelum dan setelah merger. 

Berdasarkan hasil penelitian didapatkan kinerja keuangan PT Pelabuhan Indonesia (Persero) periode setelah merger menunjukan kondisi yang lebih baik. Selain itu kinerja operasional, dan kinerja admininistrasi juga ikut membaik dimana kecepatan layanan rata-rata bongkar muat menjadi lebih cepat serta lebih tertib dalam meyampaikan laporan kepada Pemegang Saham, disamping itu faktor terpenting dari upaya merger empat Pelabuhan BUMN adalah sistem teknologi informasi yang handal untuk mendorong akselerasi terwujudnya smart port.

The merger of four state-owned ports is a strategic step used by the Government with the aim of improving performance, competitiveness and increasing connectivity to the global market and port management can be carried out centrally and more optimally. With the merger, the Government hopes that Pelindo will have large capital and assets, supported by healthy financial performance, competent human resources, and information technology systems that are able to compete with other major ports globally.

The purpose of this study is to understand the impact of mergers on four state-owned ports, namely PT Pelabuhan Indonesia I (Persero), PT Pelabuhan Indonesia II (Persero), PT Pelabuhan Indonesia III (Persero), and PT Pelabuhan Indonesia IV (Persero) by analyzing the company's financial performance, operational performance, and administrative performance before and after the merger as well as the factors that determine the success of mergers in SOEs, especially the port sector.

The research method used is to use a quantitative approach by conducting a comparative descriptive analysis, namely comparing two circumstances before and after the occurrence of the event, where in this study there can be known differences in financial performance, operational performance, and administrative performance of PT Pelabuhan Indonesia (Persero) before and after the merger.

Based on the results of the study, it was found that the financial performance of PT Pelabuhan Indonesia (Persero) in the period after the merger showed better conditions. In addition, operational performance, and administrative performance also improved where the average loading and unloading service speed became faster and more orderly in submitting reports to Shareholders, besides that the most important factor of the merger efforts of four BUMN Ports was a reliable information technology system to encourage the acceleration of the realization of smart ports.
