Industri membutuhkan sumber daya dalam mempertahankan competitive advantage yang akan berdampak pada kinerja perusahaan (Maditinios, Chatzoudes, Tsairidis, dan Theriou, 2001). Sumber daya berwujud dan tak berwujud mempunyai peran dalam menciptakan nilai perusahaan. Marr (2004) berpendapat bahwa nilai perusahaan biasanya berasal dari ingtangible modal intelektual yang ditunjukkann. Tata kelola perusahaan juga merupakan faktor yang secara kausalitas maupun ketergantungan dinamika mempunyai pengaruh terhadap kinerja perusahaan. kinerja masa lampau dan masa kini (valuation outcomes) memberikan pengaruh pada perubahan struktur tata kelola perusahaan (Himmelberg et. al., 1999; Hermalin dan Weisbach, 2003; Wintoki et. al., 2007). Penelitian ini sendiri bertujuan untuk menguji pengaruh modal intelektual terhadap kinerja perusahaan dan menguji moderasi tata kelola perusahaan yang memperkuat pengaruh modal intelektual terhadap kinerja perusahaan. Objek penelitian ini adalah perusahaan yang terdaftar pada bursa efek Indonesia (BEI). Sampel penelitian ini terdiri dari 157 perusahaan, dengan total obeservasi sebesar 785 observasi. Hasil penelitian menunjukkan bahwa modal intelektual berpengaruh positif terhadap kinerja perusahaan. Sedangkan, tata kelola perusahaan bukan merupakan variabel moderasi, tetapi merupakan faktor yang berpengaruh langsung terhadap kinerja perusahaan.

Tangible and intangible resources have a role in creating company value. Marr (2004) argues that corporate value is usually derived from the point of ingtangible intellectual capital. Corporate governance is also a factor that is causally or dynamically dependent has an effect on the company's performance. The present performance and future performance (valuation outcomes) gives right influence on changes in the corporate governance structure (Himmelberg et. al., 1999; Hermalin and Weisbach, 2003; Wintoki et. al., 2007). This study aims to examine the influence of intellectual capital on the performance of the company and testing the moderation of corporate governance that strengthens the influence of intellectual capital on the performance of the company. The object of this study is a company listed on the Indonesian stock exchange. Sample is consisted of 157 companies, with total 785 observations. The results showed that intellectual capital has a positive effect on company performance. Meanwhile, corporate governance is not a moderating variable, but is a factor that directly affects the company's performance.
