Penilaian Penerapan Corporate Governance Menggunakan Model Peratingan Center for Good Corporate Governance (Studi Pada PT Perkebunan Nusantara V)

Terjadinya kasus-kasus besar di Amerika, seperti Enron, Worldcom, dan Tyco menyebabkan pentingnya penerapan corporate governance pada pengelolaan bisnis perusahaan. Di Indonesia, corporate governance menjadi semakin penting sejak terjadi krisis ekonomi tahun 1997-1998. Menyadari kondisi tersebut, pemerintah mengeluarkan aturan agar BUMN menerapkan GCG dan menjadikan prinsip-prinsip GCG sebagai landasan operasional perusahaan. Dengan adanya aturan ini, menjadi penting pula untuk dilakukan penilaian terhadap penerapan GCG di perusahaan. Penelitian ini bertujuan untuk menilai kualitas penerapan corporate governance pada PTPN V dengan menggunakan model peratingan Center for Good Corporate Governance UGM (CGCG UGM). Periode penelitian ini ialah tahun 2016. Penelitian ini menggunakan model peratingan CGCG UGM yang terdiri dari 497 pertanyaan berlandaskan empat prinsip yaitu transparansi, pertanggungjelasan, pertanggungjawaban, dan kewajaran. Responden dalam penelitian ini adalah Komisaris Utama, anggota komisaris, Direktur Utama, Direktur Komersil, Direktur Operasional, Komite Audit, Komite Investasi dan Risiko, Bagian SPI, Bagian Sekretaris Perusahaan, karyawan, dan masyarakat. Hasil penilaian penerapan corporate governance menggunakan model peratingan CGCG UGM pada PTPN V menghasilkan skor sebesar 4136 dari nilai minimal 831 dan nilai maksimal 4170. Skor ini menempatkan PTPN V pada peringkat teratas dari 16 peringkat, yakni rating A+++ yang berarti perusahaan sangat sempurna dalam mengadopsi dan menerapkan seluruh hukum, regulasi, dan aturan-aturan, serta menyajikan seluruh informasi seluruh pihak terkait dengan tanpa paksaan. Informasi yang disajikan kepada publik memiliki tingkat kekomprehensifan dan kemampupercayaan yang tinggi, baik secara internal maupun eksternal.

The occurrence of major cases in America, such as Enron, Worldcom, and Tyco emphasized the importance of implementing corporate governance in the management of the company's business. In Indonesia, corporate governance has become increasingly important since the 1997-1998 economic crisis. Recognizing these conditions, the government issued a regulation for state-owned enterprises (BUMNs) to apply GCG and to make the principles of GCG as the operational basis of the company. With this rule, it is also important to assess the implementation of GCG in the company. This study aims to assess of corporate governance implementation at PTPN V by using CGCG UGM rating model. The period of this research is 2016. This research uses CGCG UGM rating which consists of 497 questions based on four principles: transparency, accountability, responsibility, and fairness. The respondents in this study are the President Commissioner, commissioner, President Director, Commercial Director, Operational Director, Audit Committee, Investment and Risk Committee, SPI Section, Corporate Secretary Section, the employees and the society. The result of the corporate governance implementation using the CGGG UGM rating model of PTPN V results in a score of 4136 from a minimum score of 831 and a maximum score of 4170. This score puts PTPN V at the top of the 16 ratings, the 'A +++' rating, which means that the company is perfect in adopting and applying all the laws, regulations and rules, and presents all information from all parties concerned without coercion. The information presented to the public has a high degree of comprehensiveness and trustworthiness, both internally and externally.
