TINJAUAN YURIDIS KETENTUAN HUKUM YANG MENGATUR TENTANG PERSIAPAN SPIN OFF (STUDY KASUS KEWAJIBAN SPIN OFF ASURANSI JIWA BERSAMA BUMIPUTERA SYARIAH CABANG YOGYAKARTA)

Penelitian ini bertujuan untuk hukum spin off terhadap unit usaha syariah yaitu Asuransi Jiwa Bersama Bumiputera Syariah cabang Yogyakarta. Perlunya dilakukan spin off dikarenakan AJB Bumiputera syariah dan AJB Bumiputera konvensional mempunyai karakteristik yang berbeda, harapan dengan dilakukannya spin off AJB Bumiputera syariah menjadi full fledge. Tujuannya agar masyarakat lebih percaya dengan kehalalannya (terhindarnya praktik, riba, gharar, maysir) sehingga tidak ada anggapan sinis dan skeptis terhadap asuransi syariah. Spin off dinilai akan lebih kompetitif juga menjadi faktor kuat yang dapat menstimulus pertumbuhan industri asuransi syariah. Pendekatan yang digunakan dalam penelitian ini adalah empiris normatif dengan mengutamakan penelitian lapangan dan kepustakaan yaitu metode hukum yang dilakukan dengan menggali informasi dari para responden kemudian dikaitkan dengan data sekunder yaitu bahan pustaka. Teknik pengumpulan data yang digunakan adalah penelitian lapangan dan kepustakaan. Metode analisis hasil yang dipergunakan adalah metode kualitatif yaitu analisis dengan cara realitas di Perusahaan AJB Bumiputera Syariah yang menjadi obyek penelitian ini. Hasil penelitian menunjukkan bahwa: (1) Proses pemisahan AJB Bumiputera Syariah secara modal sudah terpenuhi, akan tetapi masih banyak yang perlu untuk dipersiapkan, di antaranya badan usaha AJB Bumiputera Syariah berbentuk usaha bersama (mutual) sangat berbeda dengan Perseroan Terbatas, sehingga dalam persiapan pemisahan AJB Bumiputera Syariah tidak merujuk kepada Undang-undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas. Perlu di bentuk Undang-undang khusus yang mengatur Usaha Bersama (mutual). (2) Banyak kendala-kendala proses pemisahan baik Sumber Daya Manusia, Infrastruktur serta kesiapan regulasi tentang Usaha Bersama (Mutual). AJB Bumiputera syariah yang berbentuk badan hukum usaha bersama merupakan badan hukum yang di akui oleh Negara Indonesia. Undang-undang Usaha Bersama sampai saat ini belum ada, sehingga dalam persiapan pemisahan belum mempunyai landasan hukum yang jelas.

Spin off is necessary to implement in the Mutual Life Insurance (MLI) of Bumiputera because MLI of Sharia and Conventional Bumiputera have different characteristics. It is expected that the implementation of spin off in MLI of Sharia Bumiputera can be fully fledge. The objective is that society becomes more trust in the lawfulness of banking product (being avoided from practices of usury (riba, gharar, maysir) so that there is no cynical and sceptical view on sharia insurance. Spin off is assessed to be more competitive and the significant factor to stimulate the growth of sharia insurance industry. The objective of this study is to examine the demand for spin off in the sharia business unit, i.e. MLI of Sharia Bumiputera of Yogyakarta branch. The study was conducted using an empirical-normative juridical method with an emphasis on field study and literature study, i.e. legal method to explore information from informant associated with secondary data collected by literature study. The data were collected through field study and literature study. The data collected were then analyzed by a qualitative technique concerning the reality of MLI of Sharia Bumiputera as the object of the study. Results of the study showed as follow. (1) The spin off in MLI of Sharia Bumiputera in view of capital was met, but there have still been many things to be prepared, for example, the corporate entity of MLI of Sharia Bumiputera as the mutual business was very different from that of the Limited Company, so that the preparation of spin off in MLI of Sharia Bumiputera did not refer to Law Number 40 Year 2007 on the Limited Company. Therefore, it is necessary to formulate a specific law regulating the mutual business. (2) MLI of Sharia Bumiputera as the mutual business was a corporate entity recognized by the State of the Republic of Indonesia. However, the law on mutual business has to date been not formulated, so that the preparation of spin off did not have clear legal foundation. (3) Many obstacles faced in the implementation of spin off in terms of human resources, infrastructures, and the company�s mental willingness.
