PERAN PROFESI PENUNJANG PASAR MODAL PADA PROSES PENAWARAN UMUM DAN PERKEMBANGANNYA

Penelitian tentang Peran Profesi Penunjang Pasar Modal Pada Proses Penawaran Umum Dan Perkembangannya ini bertujuan untuk mengerti pentingnya peran Profesi Penunjang Pasar Modal pada proses penawaran umum serta khususnya perkembangan peran Konsultan Hukum dalam mengkoordinasi pembuatan prospektus bagi perusahaan yang akan go public. Penelitian ini merupakan penelitian hukum normatif yang lebih banyak menelaah dan mengkaji data sekunder yang diperoleh dari penelitian kepustakaan melalui studi dokumen. Data sekunder didukung dengan data primer yang diperoleh dari penelitian lapangan melalui wawancara. Analisa data dilakukan dengan metode deskriptif kualitatif. Hasil penelitian ini menunjukkan bahwa peran Profesi Penunjang Pasar Modal seperti Akuntan, Notaris, Perusahaan Penilai dan Konsultan Hukum, sangat menentukan tingkat keberhasilan suatu Perseroan Terbatas dalam melakukan proses penawaran umum atau going public melalui Bursa Pasar Modal. Hasil penelitian ini juga menunjukkan bahwa dimulai dari tahun 2014 ini ke depan, perkembangan peran Konsultan Hukum sebagai salah satu Profesi Penunjang Pasar Modal akan mengalami perubahan tugas yang sangat signifikan. Jika sebelumnya koordinator dalam rangka mempersiapkan dokumen pernyataan pendaftaran dan pembuatan prospektus dilakukan oleh Penjamin Emisi Efek atau Underwriter, mulai tahun 2014 ini, peran koordinator ini mulai dijabat oleh Konsultan Hukum.

The purposes of the research about The Role Of The Capital Market Supporting Professionals On Public Offering Process And Its Development is to understand the importance of the role of the Capital Market Supporting Professionals on public offering process and especiallly the development of the role of Legal Consultants in coordinating the making of prospectus for companies that is about to go public. This research is a normative law research, emphasizing on secondary data obtained from library research through documents study. It was supported with primary data obtained from field research using a guided interview. The data analysis was conducted with descriptive qualitative method. The result of this research shows that the role of Capital Market Supporting Professionals such as Accountant, Notary, Appraiser and Legal Consultants, are very decisive in determining the level of success of a Limited Company in conducting going public process through the Capital Market Exchange. The result of this research also shows that starting from the year 2014 onward, the development of the role of Legal Consultants as one of the Capital Market Supporting Professionals will run into a very significant change on their job description. If previously the coordinator in preparing the registration statement documents and the making of prospectus was conducted by Underwriter, beginning from the year 2014, the coordinating role was held by Legal Consultant.
