PERATINGAN CORPORATE GOVERNANCE DENGAN MENGGUNAKAN MODEL PERATINGAN CENTER FOR GOOD CORPORATE GOVERNANCE UGM (Studi Pada PT Bank Mandiri, Tbk)

Industri perbankan memiliki peranan penting dalam mendukung pertumbuhan ekonomi dan stabilitas nasional. Kegagalan penerapan Corporate Governance (CG) dalam pengelolaan Bank terbukti mengakibatkan dampak yang luar biasa, yaitu ambruknya sendi-sendi per ekonomian negara dan krisis keuangan dunia. Untuk itu, Good Corporate Governance (GCG) bukan lagi merupakan hal yang perlu diperdebatkan, melainkan sudah menjadi keharusan untuk diterapkan dalam PT. Bank Mandiri, Tbk. Penelitian dengan metode triangulation ini menggunakan alat peratingan CG yang dikembangkan oleh Center Good Corporate Governance Universitas Gadjah Mada (CGCG UGM), dilengkapi daftar kuesioner yang terdiri dari 497 pertanyaan untuk mengukur kualitas penerapan CG pada suatu perusahaan. Proses peratingan bertujuan untuk menggali secara mendalam bagaimana penerapan CG yang terkait dengan empat prinsip, yaitu Accountability, Responsibility, Fairness, dan Transparancy. Regulasi-regulasi yang diterbitkan oleh regulator seperti BAPEPAM dan Bank Indonesia yang terkait dengan CG khususnya pada industri perbankan dianalisis secara rinci dan dikaitkan dengan praktik penerapan CG yang dilaksanakan oleh Bank ini yang didukung oleh adanya regulasi internal perusahaan. Penelitian ini terbatas pada satu Bank yaitu PT. Bank Mandiri, Tbk. Data dan informasi yang diperoleh hanyapada periode tahun 2011 serta tidak mengkonfirmasikan korelasi antara kualitas penerapan CG dengan kinerjanya. Hasil penelitian menyimpulkan bahwa penerapan CG pada PT. Bank Mandiri, Tbk terkait empat prinsip yang diukur dengan alat peratingan CG CGCG UGM telah diterapkan dengan sangat baik dilihat dari hasil rank yang didapat yaitu A+++.

The banking industry has an important role in supporting economic growth and national stability. The failure of Corporate Governance (CG) implementation in management of the Bank, showed by the result that have tremendous impact, which is the collapse of the national pillars of economy and the global financial crisis. Therefore, the Good Corporate Governance (GCG) is not a kind of subject that needs to be argued, but it has become a requirement to be applied in PT. Bank Mandiri Tbk. This Triangulation Method Research is using a CG rating instrument which developed by Universitas Gadjah Mada’s Good Corporate Governance Centre (GCGC), equipped with questionnaires (which contains 497 questions in it) to measure the CG implementation quality when it runs in a company. The Rating process aim to provide a deep-massive information about the association of CG implementation with the four principles, which are; Accountability, Responsibility, Fairness, and Transparency. Regulations that have been issued by the regulators as BAPEPAM and Bank Indonesia which related with CG, especially when it comes in the banking industry, were specifically analyzed in details and related with CG implementation by the Bank that supported by the internal regulations of the company. Due the research was limited only to one bank, PT. Bank Mandiri Tbk itself, the data and information were only obtained in the period of 2011, and it did not reflect yet the correlation between the quality of CG implementation with it’s performance. The conclution of this research tells us that the implementation of CG on PT. Bank Mandiri Tbk when it combined with the four principles that measured using the GCGC’s instruments has been applied excellenty, shown by the rank obtained, which is an “A+++”.
