TINJAUAN YURIDIS TERHADAP IMPLEMENTASI GOOD CORPORATE GOVERNANCE PADA BADAN USAHA MILIK NEGARA (BUMN) BERDASARKAN KEPUTUSAN MENTERI BUMN NOMOR KEP-117/M-MBU/2002 TENTANG PENERAPAN PRAKTEK GOOD CORPORATE GOVERNANCE PADA BADAN USAHA MILIK NEGARA (STUDI KASUS: PERUM BULOG)

Penelitian ini bertujuan untuk mengetahui implemetasi Good Corporate Governance, upaya-upaya yang dilakukan Perum BULOG dan faktor-faktor yang menghambat pelaksanaan Good Corporate Governance pada Perum BULOG sebagai Badan Usaha Milik Negara dalam melaksanakan Good Corporate Governance berdasarkan Keputusan Menteri BUMN No. Kep-117/M-MBU/2002. Metode yang digunakan dalam penelitian ini adalah dengan menggunakan metode yuridis empiris dimana fokus penelitian ini mengarah kepada penerapan prinsip Good Corporate Governance berdasarkan Keputusan Menteri BUMN No.Kep-117/M-MBU/2002 tentang Penerapan Praktek Good Corporate Governance pada BUMN khusunya pada Perum BULOG, sehingga dapat ditentukan suatu landasan untuk membuat suatu kerangka penerapan prinsip Good Corporate Governance pada tubuh Badan Usaha Milik Negara. Hasil penelitian ini menunjukkan bahwa penerapan prinsip-prinsip Good Corporate Governanace pada Perum BULOG telah diterapkan dengan baik dimana Perum BULOG telah menerbitkan Keputusan Direksi Perum BULOG Nomor KD64/ DS200/03/2005 tentang Pedoman Corporate Governance di Lingkungan Perum BULOG dan sebagai landasan operasional dan menerbitkan Keputusan Perusahaan Umum BULOG Nomor KD-101/DU101/04/2006 tentang Panduan Perilaku (Code of Conduct) Perum BULOG dengan tujuan agar setiap insan perusahaan serta pihakpihak yang berkepentingan (stakeholders) dapat berpedoman pada code of conduct ini dengan baik. Terdapat faktor-faktor penghambat dalam menerapkan prinsip-prinsip Good Corporate Governanace baik faktor eksternal maupun faktor internal pada Perum BULOG. Namun terdapat beberapa upaya yang dilakukan oleh Perum BULOG dalam penerapan prinsip Good Corporate Governance yaitu dengan membangun sistem yang sistematis pada internal perusahaannya dan melakukan kerjasama dengan instansi lainnya yang terkait dengan penerapan penerapan prinsip Good Corporate Governance.

This study aims to determine the implementation of Good Corporate Governance, the efforts made by Perum BULOG and the factors that hinder the implementation of Good Corporate Governance and the efforts made by Perum BULOG as State-Owned Enterprises in implementing good corporate governance based on Ministerial Decree No. SOE. Kep-117/M-MBU/2002. The method used in this research is to use empirical juridical method where the focus of this research led to the implementation of good corporate governance principles based on the Decree of the Minister of SOEs No.Kep-117/M-MBU/2002 of Good Corporate Governance Practices in the state especially in Perum BULOG , so it can set a foundation to create a framework of good corporate governance principles in the body of the State Owned Enterprises. The results of this study indicate that application of the principles of Good Corporate Governance on Perum Bulog has been applied with good where Perum BULOG has issued Decree No. KD-64/DS200/03/2005 BULOG Perum Directors of the Environmental Code of Corporate Governance in Perum BULOG and as an operational basis and the Public Company issued Decree No. BULOG KD101/ DU101/04/2006 about our Code of Conduct (Code of Conduct) Perum Bulog with the aim that every member of the company and interested parties (stakeholders) can be guided by the code of conduct is well . There are inhibiting factors in applying the principles of Good Corporate Governance factors both external and internal factors on Perum BULOG. But there are some efforts made by Perum BULOG in the application of the principle of good corporate governance by developing a systematic system of internal company and make cooperation with other agencies associated with the implementation of good corporate governance principles.
