ANALISA HUKUM TERHADAP KEDUDUKAN PERSEROAN TERBATAS YANG BELUM MELAKUKAN PENYESUAIAN DENGAN UNDANG-UNDANG NO.40 TAHUN 2007 TENTANG PERSEROAN TERBATAS

Eksistensi perseroan terbatas di Indonesia dalam menjalankan operasional perusahaan dimana Undang-undang yang mengatur tentang perseroan terbatas awalnya adalah Undang-undang nomor 1 Tahun 1995 tentang Perseroan Terbatas dimana telah diganti dengan Undang-undang No.40 Tahun 2007 tentang Perseroan Terbatas, dalam aturan yang terdapat dalam UUPT tersebut diatur mengenai kewajiban bagi seluruh perseroan untuk menyesuaikan dengan UUPT, konsekuensinya apabilah perseroan tidak menyesuaikan dengan UUPT maka perseroan tersebut dapat dibatalkan status badan hukumnya, dalam prakteknya saat ini masih banyak perseroan yang belum melakukan penyesuaian dengan UUPT. Penelitian ini bersifat yuridis empiris, namun titik tolaknya pada studi lapangan untuk memperoleh data primer, selanjutnya data pendukungnya adalah dengan penelitian kepustakaan sebagai data sekunder Berdasarkan data yang diperoleh dari hasil penelitian yaitu berupa : 1. Status Perseroan Terbatas yang belum menyesuaikan dengan UUPT tetap berstatus badan hukum walaupun terhadap Perseroan Terbatas tersebut dapat dibubarkan berdasarkan putusan Pengadilan Negeri oleh tuntutan jaksa maupun pihak yang berkepentingan 2. Bahwa Hambatan bagi Perseroan untuk menyesuaikan Anggaran Dasarnya dengan UUPT adalah sosialisasi terhadap UUPT dan faktor teknis berupa akses SISMINBAKUM sempat tidak beroperasi dalam periode 2007 s/d akhir 2009. 3. Terhadap Perbuatan Hukum bagi Perseroan Terbatas yang belum menyesuaikan Anggaran Dasarnya dengan UUPT, maka terhadap perbuatan hukum walaupun diatur dalam Anggaran Dasar tapi bertentangan dengan UUPT, maka terhadap perbuatan tersebut batal demi hukum. 4. Upaya yang dilakukan agar Perseroan Terbatas melakukan penyesuaian Anggaran Dasar dengan UUPT adalah dengan memperbaiki jaringan sistim pendaftaran yang bernama SISMINBAKUM diubah menjadi SABH.

The existence of a limited liability company in Indonesia in carrying out its operations by the company. The law governing limited liability company originally was Law number 1 Year 1995 regarding Limited Liability Company, which has been replaced by Act No.40 of 2007 regarding Limited Liability Company, the rules contained in the Company Law is regulated nature of the obligation for the entire company to conform with the Company Law, the consequences if the company does not conform with the Company Law, the company may cancel its legal entity status, in practice it is still a lot of companies that have not made adjustments to the Company Law, This research in an empirical judical one. Its data were gathered trought a field research so as to obtain its primari data. To complete the data obtained throught the field research, they were supported by the data gathered throught a library research. Based on the analysis of the data collected, conclutions are drawn as follow : 1. Status of Limited Liability Company Law still have not adapted to the legal status of a Limited Liability Company although it may be dissolved by decision of the District Court by the prosecution as well as interested parties 2. That the barrier for the Company to adjust its Articles of Association with the Company Law is the socialization of the Company Law and technical factors in the form of access SISMINBAKUM could not operate in the period 2007 to late 2009. 3. Legal Actions Against Company Limited who have not adapted its Articles of Association with the Company Law, then to legal action even if stipulated in the Articles of Association but contrary to the Company Law, it is against the act was null and void. 4. Efforts are made for adjusting the Limited Liability Company Articles of Association with the Company Law is to improve the registration system network named SISMINBAKUM converted into SABH.
