Employee stock option program (ESOP) pada PT Bank Mandiri (Persero) Tbk di tinjau dari prinsip good corporate governance (GCG)

Penelitian ini bertujuan untuk menganalisa penerapan program Employee Stock Ownership Program (ESOP) di PT Bank Mandiri (Persero) Tbk, sesuai peraturan perundang-undangan yang berlaku serta kesesuaian penerapan ESOP tersebut sesuai prinsip-prinsip Good Corporate Governance (GCG). Penelitian ini bersifat deskriptif, dengan maksud dapat menggambarkan secara jelas mengenai permasalahan yang diteliti. Metode yang digunakan dalam penelitian ini adalah metode penelitian hukum normatif, yaitu penelitian terhadap asas-asas hukum, pengertian hukum, peraturan-peraturan hukum perundang-undangan yang berlaku yang terkait dengan pelaksaan ESOP, yaitu antara lain hukum Perseroan Terbatas, Ketenagakerjaan, Pasar Modal serta kaidah-kaidah Good Corporate Governance didukung oleh data primer dari hasil wawancara. Hasil penelitian menunjukkan bahwa Bank Mandiri merupakan Badan Usaha Milik Negara (BUMN), dengan status perusahaan terbuka dan perusahaan publik yang merupakan suatu Badan Hukum yang highly regulated yang tunduk pada berbagai peraturan perundang-undangan. Penerapan ESOP pada PT Bank Mandiri (Persero) yang dilakukan sejak IPO Bank Mandiri telah dilakukan sesuai dengan peraturan perundangundangan yang berlaku yang terkait dengan penerapan ESOP, yaitu Undang-undang Perseroan Terbatas, Undang-undang Pasar Modal, Peraturan Badan Pengawas Pasar Modal (Bapepam-LK), Peraturan Bursa Efek Indonesia serta Anggaran Dasar Bank Mandiri. Pelaksanaan ESOP di Bank Mandiri dilakukan dengan persetujuan RUPS terlebih dahulu, melalui prosedur pencatatan di Bursa, perubahan Anggaran Dasar serta dilaksanakannya keterbukaan informasi (disclosure). Pelaksanaan program ESOP di Bank Mandiri (Persero) Tbk dilakukan sesuai prinsip-prinsip Good Corporate Governance (GCG) yang terdiri dari Transparency, Accountability, Responsibility, Independency dan Fairness, antara lain dengan dilaksanakannya keterbukaan informasi kepada publik (disclosure) dan prinsip pertanggungjawaban oleh Direksi dan Komisaris.

This research aims to analyze the implementation of programs Employee Stock Ownership Program (ESOP) to PT Bank Mandiri (Persero) Tbk, according to statutory regulations that apply as well as on the implementation of the ESOP in accordance the principles of Good Corporate Governance (GCG). This research was descriptive, with the intention to describe clearly about the issues being investigated. The method used in this research is normative empiric legal research methods, such as doing research to Indonesia laws and regulations related to ESOP which include a Limited Liability Company Law, Employment, and Capital Market rules and Good Corporate Governance Principles supported by primary data from the interviews. Results showed that Bank Mandiri is the State Owned Enterprises with the status of a public company and opened company is a highly regulated legal entity that is subject to various laws and regulations. ESOP Implementation in Bank Mandiri conducted since the Initial Public Offering (IPO) of Bank Mandiri has been carried out in accordance with laws and regulations applicable in connection with the implementation of the ESOP, which is a Limited Liability Company Law, Capital Market Law, Capital Market Supervisory Agency (Bapekam –LK), Indonesia Stock Exchange Regulations and Articles of Association of Bank Mandiri. ESOP Implementation in Bank Mandiri done with prior approval of the General Shareholder Meeting, through Exchange listing procedures, amendment and implementation of information disclosure (disclosure). ESOP program implementation at Bank Mandiri (Persero) Tbk conducted in accordance the principles of Good Corporate Governance (GCG), which consists of Transparency, Accountability, Responsibility, Independency and Fairness, among others, with the implementation of information disclosure to the public (disclosure) and the principle of responsibility by the Board of Directors and the Commissioner.
