Dampak pemutusan akses Sisminbakum terhadap perseroan terbatas yang sedang dalam proses pengesahan

2009 | Tesis | S2 Magister KenotariatanPembuatan penulisan hukum ini bertujuan untuk mengetahui sejauh mana dampak pemutusan akses sisminbakum terhadap proses pengesahan Perseroan Terbatas, yaitu: kedudukan Perseroan Terbatas tersebut, tanggung jawab perseroan terbatas yang belum mendapat pengesahan menteri terhadap Pihak Ketiga serta bagaimana notaris mengambil sikap untuk menghadapi hal-hal tersebut. Penulisan hukum ini merupakan jenis penelitian normatif empiris yang bersifat deskriptif. Cara penelitiannya mengunakan Penelitian lapangan, yang bertujuan memperoleh data primer tehnik pengumpulan data dengan melakukan wawancara terhadap responden (beberapa notaris) mengambil lokasi penelitian di kota Solo dan kota Bekasi Penelitian kepustakaan bertujuan memperoleh data sekunder, diambil dari pengkajian bahan hukum primer yang (peraturan perundang-undangan maupun peraturan lain), bahan hukum sekunder (buku-buku literatur, artikel dan bacaan lainnya) serta bahan hukum tersier (kamus dan ensikolopedia). Analisis data yang digunakan yaitu analisis data kualitatif model interaktif. Berdasarkan penelitian penulis memperoleh hasil bahwa kedudukan suatu perseroan terbatas yang tidak dapat memenuhi ketentuan sebagaimana disebutkan dalam Pasal 10 ayat (1) Undang-Undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas mengenai penetapan jangka waktu 60 hari bagi Perseroan Terbatas untuk mengajukan permohonan pengesahan pendirian Perseroan Terbatas kepada Menteri Hukum dan HAM apapun alasannya Perseroan Terbatas tersebut menjadi bubar demi hukum begitu pula dengan akta pendiriannya menjadi batal demi hukum. Setiap perbuatan hukum yang dilakukan atas nama Perseroan Terbatas yang belum berbadan hukum bisa dilakukan dan akan mengikat perseroan ketika perseroan sudah berbadan hukum dengan syarat perbuatan hukum tersebut dilakukan oleh anggota Direksi, bersama-sama dengan pendiri dan semua anggota Dewan Komisaris. Apabila syarat tersebut tidak dipenuhi maka pihak yang melakukan pengikatan dengan Pihak Ketiga terebut akan bertanggung jawab secara tanggung renteng. Untuk menyikapi permasalahan pemutusan akses sisminbakum notaris memilih tetap mengikuti alur yang ditentukan, apabila klien terus menanyakan “nasib†akta Perseroan Terbatas mereka, notaris memilih untuk menjawab apa adanya walaupun tidak semua klien bereaksi positif, untuk memantau berkas Perseroan Terbatas yang diurus, notaris selalu berusaha untuk mengakses website SABH (Sistem Administrasi Badan Hukum) sebagai pengganti sisminbakum walaupun terkadang masih sering putus sambung. Hasil penelitian ini diharap dapat memberikan masukan dan referensi bagi pihakpihak yang berkepentingan langsung, khususnya para pelaku usaha (Perseroan Terbatas) dan notaris.
The aim of this study is to find out how far the impact of acess termination to the website of the Administration System for the Legal Entities (Sisminbakum) on the limited company founding deed endoresement in progress, which includes how the status of the limited company, the responsibility of the limited company which has not been endorsed by the Ministry of Justice and Human Rights to the Third Party, and how the Notaries Public respond such a problem This study is an empirical normative one which a descriptive approach. Its data were obtained through the field research and library research. The former aimed at gathrering primary data. The primary data were gathered through interview with several Notaries Public as repondents in Solo city and Bekasi city. The latter aimed at gathering secondary data. The seondary data were gathered though the study of primary legal materials including laws and regulation and other orders, that of secondary legal materials including legal literatures, articles, and other legal reading materials, and that of tertiary legal materials including law dictionary and law encyclopedia. The data were qualitatively analyzed with an interactive models of analysis. The result of the analysis show that the status of a limited company which cannot fulfill the provision of Article 10, Sub-article (1) Law Number 40/2007 of Limited Company regarding the stipulation of a 60-day length of time for the limited company to apply for the limited company founding deed endorsement to the Ministry of Justice and Human Rights, whatever the reasons are, is annulled and the limited company as well as its founding deed is dissolved on behalf the prevailing laws and regulations. Though the limited company has not been endorsed the members of the Board of the Limited Company along with the founders and all the members of the Board of Commissioner can act legally on behalf the Limited Company, and the action executed later will bind the limited company as soon as the its founding deed is endorsed. Yet when such requirements are not fulfilled, the party making binding agreement with the Third Party are jointly reponsible to the Third Party. To respond such an access termination to the website of the Administration System for the Legal Entities, the Notaries Public in Solo City and Bekasi city keep choosing the stipulated course of the founding deed endorsement. When their client ask about ‘the destiny’ (end) of their limited company founding deed endorsement process, the Notaries Public prefer to answer the way it is altough not all of them positively react to the response, and to keep monitoring /tracking the course of document processsing of the limited company founding deed endorsement that they handle. The Notaries Public always try to access the inconsistently active website of the current Administration System for the Legal Entities (SABH) , which is the substitute website for the former Administration System for the Legal Entities (Sisminbakum). The results of this researh are expected to be input and reference for the stakeholders, particulary the businessmen (the prospective founders of limited company), and for the Notaries Public engaged in the limited company establishment deed.
