2009 | Tesis | S2 Magister HukumPasal 27 Undang-undang Nomor 5 Tahun 1999 tentang Larangan Praktek Monopoli dan Persaingan Usaha Tidak Sehat (UU No.5/1999) memberikan larangan bagi kepemilikan saham mayoritas pada beberapa perusahaan sejenis yang melakukan kegiatan usaha dalam bidang yang sama pada pasar bersangkutan yang sama. Dalam bidang telekomunikasi salah satu perkara yang telah ditangani oleh Komisi Pengawas Persaingan Usaha (KPPU) adalah mengenai dugaan kepemilikan silang Temasek Holdings Pte. Ltd. (Temasek) di PT Indosat, Tbk. (Indosat) dan PT. Telkomsel Seluler, Tbk. (Telkomsel). KPPU telah menjatuhkan keputusannya No. 07/KPPU-L/2007 tanggal 19 November 2007 antara lain yaitu menyatakan bahwa Temasek bersama-sama dengan anak perusahaannya terbukti secara sah dan menyakinkan melanggar Pasal 27 huruf a UU No.5/1999. Penelitian secara normatif terhadap putusan KPPU dan peraturan perundang-undangan yang mendasarinya dengan menggunakan metode normatif dan pengambilan kesimpulan dilakukan dengan menggunakan logika deduksi. Berdasarkan analisis, diketahui bahwa KPPU mempunyai kewenangan untuk memeriksa dan memutus perkara Temasek dalam hal pelanggaran terhadap ketentuan pasal 27 ayat 1 UU No.5/1999. Dimana, KPPU mendapat hambatan dalam pembuktian atas kepemilikan 50% saham Temasek atas Telkomsel dan Indosat, sedangkan mengenai kewenangan KPPU sebagaimana diatur dalam Pasal 36 butir c dan l UU No.5/1999 telah dijelaskan secara lengkap.
Article 27 The Law No. 5 Year 1999 regarding Prohibition Against Monopolistic Practices and Unfair Business Competition clearly prohibited for owning of majority share in some similar companies that have the same business core at the same markets. One of the example monopolistic case in the telecommunication business that examined by Supervisory Commission (KPPU) is cross ownership case of PT. Indosat Tbk. (Indosat) and PT. Telkomsel Seluler Tbk. (Telkomsel) that committed by Temasek Holding Pte. Ltd. (Temasek). In that case, KPPU, through its decision No. 07/KPPU-L/2007 dated 19 November 2007, had stipulated Temasek along with its suidiaries companies are legally proved for infringing article 27 of Law No. 5/1999. The researcher has identified some question related to duty and authority of KPPU that given by Law No.5/1999 and its governing regulation whether they are able to settle the cross ownership case of Temasek and also the question about the obstacles that arise during the examination process by KPPU. In answering those questions, the researcher uses the normative research method. According to data analyzes, the result is that KPPU has the authority to examine, evaluating, deciding and stipulating the cross ownership case of Temasek. There was one obstacle during the case process, especially related to proof of ownership of 50% shares of Temasek in Indosat and Telkomsel. Article 36 section c and I of Law No. 5/1999 stated that KPPU has authority to investigating business activity or businessperson’s action that will be created monopolistic practice and/or unfair competition and also give administration sanction to businessperson‘s that against it.
