Penelitian ini mengenai “Akuisisi Perusahaan (Suatu Tinjauan Akuisisi PT. P.P. London Sumatra Indonesia Tbk oleh PT. Indofood Sukses Makmur Tbk Group)” bertujuan untuk mengetahui aspek-aspek hukum yang harus diperhatikan dalam proses akuisisi ditinjau dari sudut hukum positif dan langkah-langkah yang semestinya ditempuh dalam proses akuisisi sebagai upaya untuk memberi perlindungan bagi pihak terkait. Data yang dipergunakan dalam penelitian ini adalah data primer yaitu data empirik yang diperoleh secara langsung dari lapangan penelitian yang bersumber dari informan/responden yaitu pimpinan, Senior Manajer, Manajer dari P.T. P.P. London Sumatra Indonesia Tbk., dan P.T. Indofood Sukses Makmur Tbk., (beserta seluruh Group) serta karyawan sebanyak 15 orang. Data sekunder adalah data yang di peroleh dari studi kepustakaan, media massa, internet, bahan-bahan dokumentasi dan data dari otoritas pasar modal seperti Bapepam, Bursa Effek Jakarta. Hasil penelitian menunjukkan bahwa proses pelaksanaan akuisisi P.T. PP. London Sumatra Indonesia Tbk telah mematuhi aturan dan aspek-aspek hukum yang berlaku dalam proses akuisisi. Kerangka aturan yang dimaksud berupa aturan umum yaitu: KUHPerdata, Undang-Undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas, peraturan terkait lainnya : Undang-Undang Nomor 13 tahun 2003 tentang Ketenagakerjaan; Undang-Undang nomor 18 tahun 2004 tentang Perkebunan; Undang-Undang Nomor 5 tahun 1999 tentang Larangan Praktek Monopoli dan Persaingan Usaha Tidak Sehat, anggaran dasar perusahaan dan peraturan khusus akuisisi saham; peraturan yang terkait dengan perusahaan publik berupa keputusan-keputusan otoritas pasar modal dan Bapepam. Walaupun pada awal proses akuisisi P.T. P.P. London Sumatra Indonesia Tbk., terdapat kesalahfahaman antara pemegang saham mayoritas, dewan direksi dan karyawan namun proses akuisisi dapat diselesaikan dengan cepat dengan mempertimbangan kepentingan pihak terkait

This Research is dealing with the subject “Law Analysis of Corporate Acquisition (A case study Acquisition PT. P.P. London Sumatra Indonesia Tbk by PT. Indofood Sukses Makmur Tbk Group)”. The objective of the research is to understand and apply the aspects of law which should be considered in the process of acquisition compares with positive law and the procedures that should be applied to protect other related stakeholder of acquisition of P.T. P.P. London Sumatra Indonesia Tbk. The Data utilized in this research is primary data where data empiric obtained directly from research field which is getting from responders from the Senior Staff of P.T. P.P. London Sumatra Indonesia Tbk., and P.T. Indofood Sukses Makmur Tbk, and Group which consists of 15 people. Secondary data which is obtaining from bibliography study, mass media, internet, other related documents from authority of capital market such as Bapepam, and Jakarta Stock Exchange The result of research indicate that the process of execution of acquisition P.T. P.P. London Sumatra of Indonesia Tbk have obeyed the order and aspects of applicable law in course of acquisition. Such order the framework of public law that is: KUH Perdata, Undang-udang Nomor 40 year 2007 about Private Limited Company and other related regulation; Undangundang nomor 13 tahun 2003 about Manpower; Undang-undang nomor 5 tahun1999 about Monopolistic Practice Interdict and Indisposed Effort Emulation and special regulation on company acquisition share : Other related/relevant regulation with the public company in the form of decision of authority of capital market and Bapepam. Although in the early process of acquisition P.T. P.P. London Sumatra Indonesia Tbk, there are misunderstanding between majority shareholder, Board of directors, employees of P.T. P.P. London Sumatra Indonesia Tbk but the process of acquisition can complete immediately by adopting the interest of all stake holders of the Company.
