Aspek hukum pendirian perseroan terbatas (PT) oleh pemerintah daerah tingkat propinsi :: Studi kasus CDMA di Yogyakarta

Proyek Code Division Multitple Access (CDMA) dirancang sebagai upaya untuk meningkatkan kesejahteraan warga masyarakat diPropinsi Daerah Istimewa Yogyakarta melalui pemerataan informasi, utamanya di wilayah-wilayah yang tidak terjangkau sambungan telekomunikasi (blank spots). Permasalahan muncul ketika DPRD Propinsi DIY mempertanyakan keabsahaan pembentukan PT Jogja Telpon Cerdas (JTC) yang dimaksudkan sebagai perusahaan pelaksana (special purposes vehicle) Proyek CDMA. Persetujuan yang diberikan oleh DPRD kepada Gubernur DIY tertanggal 2 Agustus 2004 terbatas pada pengalokasian dana bagi pelaksanaan proyek dimaksud, bukan persetujuan terhadap pembentukan PT JTC yang menjadi perusahaan pelaksana proyek dimaksud. Padahal, PT JTC sudah terlanjur bertindak terlalu jauh, termasuk dalam pembelanjaan sebagaian besar dana untuk keperluan Proyek CDMA yang mencapai senilai Rp. 17 milyar. Berdasarkan latar belakang permasalahan di atas, pokok masalah yang menjadi kajian tesis ini adalah pertama, berkaitan dengan bagaimana regulasi pembentukan badan usaha oleh Pemerintah Propinsi DIY. Kedua, bagaimana pembentukan perusahaan pelaksana operasional oleh Pemprop DIY bersama-sama pihak swasta seharusnya dilaksanakan. Penelitian ini bersifat yuridis normatif yang dalam pelaksanaannya akan lebih banyak didasarkan pada penelitian kepustakaan dan penelitian lapangan. Oleh karena itu, pengkajian data primer dan data sekunder akan lebih banyak dilakukan dalam penelitian ini. Dari analisis yang dilakukan dapat disimpulkan bahwa peraturan daerah yang ada secara jelas telah mengatur mengenai pembentukan PT dalam kaitannya dengan penyertaaan modal daerah dalam suatu kegiatan yang dimaksudkan untuk meningkatkan pertumbuhan ekonomi daerah, pertambahan pendapatan daerah dan terciptanya kesempatan kerja. Namun dalam praktiknya, pembentukan PT JTC yang dimaksudkan sebagai SPV pelaksanaan proyek CDMA telah melanggar 2 (dua) ketentuan pokok, yakni tanpa persetujuan DPRD dan tanpa dituangkan dalam suatu Peraturan Daerah yang nantinya akan menjadi landasan hukum bagi pelaksanaan proyek dimaksud.

The Code Division Multiple Access (CDMA) project was designed as a means of improving the welfare of the community in the Special Region of Yogyakarta (DIY) by providing for the more even distribution of information technology, especially in areas without access to telecommunications (blank spots). Problems arose when the Regional Representative Council (DPRD) of the Special Region of Yogyakarta questioned the legality of the establishment of the company PT Jogja Telpon Cerdas (JTC) which was to be the company contracted to implement (special purposes vehicle) the CDMA Project. The approval given to the DIY Governor by the DPRD on 2 August 2004 was limited to the allocation of funds for the implementation of the project, and was not an approval for the establishment of the company PT JTC as the contractor for the project. Meanwhile, PT JTC had already proceeded too far, including the expenditure of a large proportion of the funds allocated to the CDMA Project totalling 17 billion rupiah. With particular reference to this situation, the main issues to be explored in this thesis are firstly, the operation of Yogyakarta Provincial Government regulations on the establishment of commercial entities. Secondly, how the establishment of a contracting agency by the Provincial Government of Yogyakarta and a private agent should be conducted. This research adopts a normative legal approach and has been conducted largely through library and field research. Consequently, primary and secondary data are the main sources examined in this research. From the analysis undertaken, it can be concluded that existing regional regulations clearly deal with the establishment of limited liability companies in relation to the disbursement of regional funds for projects designed to increase regional economic growth, increase regional revenue and job creation. However, in practice, the establishment of PT JTC as an SPV for the CDMA project has violated 2 (two) major provisions, namely that approval was not obtained from the DPRD and the project was not delineated in a Regional Regulation which would become the legal foundation for the implementation of the project.
