Fungsi dan Peranan Komisaris Indenpenden dalam Perusahaan Go Publik di Indonesia

Penerapan prinsip-prinsip Good Corporate Governance dibutuhkan dalam rangka memberikan nilai tambah bagi perusahaan. Salah satu parameternya adalah keberadaan Komisaris Independen yang mewakili kepentingan para pemegang saham minoritas. Komisaris Independen pada dasarnya mempunyai fungsi yang sama dengan Komisaris. Hal yang membedakan adalah Komisaris Independen tidak boleh memiliki hubungan atau terafiliasi dengan pemegang saham mayoritas ataupun dengan Direksi perusahaan. Komisaris Independen berfungsi mengawasi Direksi dalam melakukan pengelolaan perusahaan, sehingga dapat melindungi kepentingan investor, stakeholders dan perusahaan itu sendiri. Sesuai dengan analisa hasil penelitian, dapat ditarik kesimpulan bahwa Komisaris Independen dapat dimintai pertanggungjawaban apabila dapat dibuktikan telah melanggar fiduciary duties. Namun keberadaan Komisaris Independen yang belum diatur secara jelas dalam peraturan perundang-undangan yang berlaku sekarang mengakibatkan pertanggungjawaban Komisaris Independen tersebut sematamata tergantung pada putusan hakim.

The implementation of Good Corporate Governance principles is required to add value for a company. One of the parameter is the existence of Independent Commissioner who represents the minority shareholders. Independent Commissioners basically has the same function as Commissioner. The difference is Independent Commissioner shall not have any relation or is affiliated with majority shareholders or with the Board of Directors of the Company. Independent Commissioner is responsible for supervising the Board of Directors in managing the company, thus it shall secure the interest of investors, stakeholders and the company itself. In line with the research’s outcome, it can be concluded that Independent Commissioners may be asked for his or her accountability in the event it is proven that he or she violates his or her fiduciary duties. Notwithstanding foregoing, the existence of Independent Commissioners has not been regulated in any prevailing laws and regulations, therefore the accountability of Independent Commissioners shall solely depend on the judge’s verdict.
