Implementasi Prinsip-Prinsip Good Corporate Governance pada PT Go Public yang Bergerak dalam Bidang Industri Kehutanan di Kalimantan Timur

Penelitian ini bertujuan untuk mengetahui bagaimana PT go public yang bergerak dalam bidang industri kehutanan mengimplementasikan prinsip-prinsip good corporate governance (GCG) dan untuk mengetahui kendala-kendala yang menghambat implementasi prinsip-prinsip GCG tersebut. Penelitian ini merupakan penelitian hukum normatif, yang lebih banyak menelaah dan mengkaji data sekunder yang diperoleh dari penelitian literatur dengan menggunakan dokumen. Data sekunder didukung dengan data primer yang diperoleh dari penelitian lapangan dengan menggunakan pedoman wawancara. Analisis dilakukan dengan metode deskriptif kualitatif. Hasil penelitian menunjukkan bahwa PT Sumalindo Lestari Jaya Tbk (“Perseroan”) telah mengimplementasikan prinsip-prinsip GCG walaupun masih ditemukan beberapa hal yang dapat menghambat penerapan prinsip-prinsip GCG tersebut. Oleh karena itu diperlukan upaya untuk mempercepat implementasi prinsipprinsip GCG khususnya terhadap PT go public yakni perubahan paradigma dari hanya sekedar pemenuhan peraturan menjadi kebutuhan yang tidak bisa ditawar lagi. Perseroan juga berharap kepada Pemerintah khususnya Departemen Kehutanan agar regulasi yang sudah ditetapkan dapat diterapkan dan dijalankan dengan sebaikbaiknya mulai dari jajaran di tingkat pusat, daerah hingga operasional di lapangan demi tercapainya kepastian hukum dalam berinvestasi.

This research aims both to find out how the go public company implements the principles of good corporate governance (GCG) and to disclose the constraints which block those principles. This research is of a juridical normative, which study and analysis are more on the secondary data collected from any related documents of the literature research. The secondary data are then corroborated with the primary data obtained from the field research, by using the interview guidance. Then, the analysis is based on the method of the qualitative descriptive. The results indicate that PT Sumalindo Lestari Jaya Tbk (“Company”) has implemented the GCG principles in spite of the fact that there are yet any impediments to put the principles into operation. Therefore, any attempts are necessary to do in order to intensifying the implementation of the GCG principles, particularly for the go public company within which way is to change the paradigm from the for the rule’s own sake only into the unavoidable need paradigm. Any partnership should also certainly suggest the government, especially Ministry of Forestry, to uphold the stipulated regulation so that it would be implemented more effectively by the whole extent of the central government, the district, and the operational lower level for the purpose of accomplishing the law enforcement in the realm of investments.
