Penelitian ini bertujuan untuk mengetahui pelaksanaan ketentuan Pasal 88 ayat (4) Undang-Undang Nomor 1 Tahun 1995 tentang Perseroan Terbatas sebagai salah satu kewajiban disclosure (keterbukaan informasi) dan akibat hukum bagi Direksi yang tidak melaksanakan Pasal 88 ayat (4) Undang- Undang Nomor 1 Tahun 1995. Penelitian ini bersifat deskriptif analitis dengan menggunakan pendekatan yuridis normatif dan didukung oleh penelitian lapangan. Data sekunder dikumpulkan melalui studi dokumen sedangkan data primer diperoleh melalui wawancara semi terstruktur. Hasil penelitian menunjukkan bahwa ketentuan Pasal 88 ayat (4) Undang-Undang Nomor 1 Tahun 1995 tidak dilaksanakan oleh perseroan-perseroan yang sudah pernah menjaminkan sebagian besar harta kekayaannya dikarenakan faktor biaya dan citra/image dan sanksi bagi Direksi yang tidak melaksanakan Pasal 88 ayat (4) UUPT adalah berupa teguran secara lisan dan tertulis dari Komisaris tanpa ditindaklanjuti dengan sanksi yang tegas berupa pemberhentian sementara atau pemberhentian tetap.

The research aims to understand the implementation of article 88 verse (4) Act No. 1 of 1995 about limited company as one of the disclosure obligation and the legal consequences to the Director who hasn’t been implemented the article 88 verse (4) Act No. 1 of 1995. This research is an analytical descriptive with normative juridical approach and a field research for support. The secondary data was obtained through a documentary study while the primary one derived from a semi structured interview. The research results show that the article 88 verse (4) Act No. 1 of 1995 hasn’t been implemented by the companies that have been guarantied most of it capital because of the cost and image and the consequences to the Director who hasn’t been implemented the article 88 verse (4) Act No. 1 of 1995 were written and spoken notice from the Commissary without being follow by any further strict sanction such as temporary or permanently discharge.
