Good Corporate Governance is as series of adequate internal control systems within a company, as an effort to regulate operations and maximize the profits of its owners. In the practice of internal company management, there is a potential for agency conflict that may arise due to differences in interests between the management (agent) and the owners (principal). The problem of differences in interests that arise between company elements (board of commissioners, board of directors, and shareholders) can be resolved through good corporate governance, thereby creating a conducive relationship between both parties.

This study aims to analyze the effect of Good Corporate Governance proxied by the proportion of independent commissioners, the size of the board of directors, and managerial ownership as independent variables on financial peformance measured by Return on Assets (ROA) as the dependent variable in banking companies listed on the Indonesia Stock Exchange for the period 2018-2024, with firm size as a control variable. The total population in this study consists of 43 banking companies. Data analysis in this study was conducted using panel data regression analysis with the assistance of Eviews 13 software. The sample in this study consists of 14 companies selected using purposive sampling method. The results of this study indicate that simultaneously the variables proportion of independent commissioner, board of directors, and managerial ownership affect ROA. Partially, the independent commissioners variable does not affect ROA, while the board of directors and managerial ownership variables affect ROA.
