Dampak penerapan Good Corporate Governance terhadap kinerja BUMN :: Studi kasus di Perum Perhutani

Penelitian ini dimaksudkan untuk menjawab apakah penerapan Good Corporate Governance pada BUMN (Perum Perhutani) dapat dilaksanakan dengan baik. Kalau belum, kendala apa yang menyebabkan dan upaya apa yang dilakukan oleh Perum Perhutani dalam mengtasi kendala tersebut. Penelitian dilakukan dengan pendekatan hukum normatif yaitu, penelitian terhadap asas-asas hukum, perbandingan hukum, sejarah hukum dan faktor-faktor yang berhubungan dengan penerapan Good Corporate Governance. Penelitian diutamakan pada penelitian kepustakaan untuk memperoleh data sekunder. Selain itu, juga dilakukan penelitian lapangan untuk menelaah dan mengkaji data primer yang diperoleh dari Perum Perhutani. Hasil dari penelitian menunjukkan bahwa prinsip-prinsip Good Corporate Governance telah dilaksanakan dengan baik, meskipun terjadi penurunan yang diakibatkan terjadinya perubahan status Perhutani dari Persero menjadi Perusahaan Umum (Perum). Kendala yang dihadapi lebih bersifat praksis, bukan strategik konsepsional. Pemahaman akan konsep Good Corporate Governance dan implementasinya pada setiap BUMN masih berbeda-beda. Hal ini bersifat wajar, dikarenakan Good Corporate merupakan konsep baru dalam khasanah korporasi di Indonesia. Secara yuridis konstitusional Good Corporate Governance sudah terakomodasi dalam undang-undang Nomor : 1 tahun 1995 tentang perseroan terbatas, dalam undang-undang nomor : 8 tahun 1995 tentang pasar modal dan dalam undang-undang Nomor : 19 tahun 2003 tentang Badan Usaha Milik Negara. Bahkan sudah diatur dalam ketetapan Majelis Permusyawaratan Rakyat Nomor : IV/MPR/1999 tentang Garis-garis Besar Haluan Negara (GBHN), dalam undang-undang nomor : 25 tahun 2000 tentang program pembangunan nasional (PROPENAS) dan dalam hukum positif lainnya.

This investigation is done to know whether the application of Good Corporate Governance in the State Owned Company (Forestry Public Corporation) can be done well. Unless, what handicap causes it and what must Forestly Public Corporation do to overtime it. The investigation is done with normative law approach, namely the investigation to law bases, law comparison, law history and factors which is related to the application of Good Corporate Governance. The investigation is prioritized in library investigation to get secondary data. Besides, the field education was also done to analyze and examine primer data which was gotten from Forestry Public Corporation. The result from the investigation shows the principles of Good Corporate Governance have been done well, although there has been decreasing which is caused by the changing of Forestry status from partnership into Public Corporation. The handicap which gotten is more practice not conseptional strategy. Understanding to the draft of Good Corporate Governance and its implementation in every state owned company are still different. It is natural because Good Corporate is a new draft for corporating in Indonesia. Juridically, constitutional of Good Corporate Governance has been accommodated in constitution number 1 year 1995 about limited partnership, in constitution number 8 (eight) year 1995 about capital market and in constitution number 19 year 2003 about state owned company. Even it has been arranged in decision of the People Advisory Assembly (MPR) Number : IV/MPR/1999 about State Direction Great Lines (GBHN), in constitution number 25 year 2000 about national development program (PROPENAS) and in order positive law.
