Urgensi Pengaturan Influencer dalam Mencegah Potensi Misappropriation dan Meningkatkan Perlindungan Investor di Pasar Modal Indonesia

    Fenomena influencer saham di pasar modal telah menjadi tren baru yang mempengaruhi perilaku investasi publik. Meskipun dapat mendorong literasi keuangan, aktivitas ini juga menimbulkan potensi misappropriation, yaitu penyalahgunaan informasi atau pengaruh untuk keuntungan pribadi yang berpotensi merugikan investor.

    Penelitian ini menerapkan metode penelitian hukum normatif, yakni pendekatan yang berfokus pada analisis terhadap norma serta asas hukum yang berlaku. Sumber bahan hukum yang dimanfaatkan meliputi bahan hukum primer, sekunder, dan tersier. Seluruh bahan hukum tersebut dianalisis secara kualitatif guna memberikan jawaban atas rumusan masalah penelitian.

    Hasil Penlitian menunjukan. Pertama, bahwa influencer berpotensi melakukan misappropriation berupa insider trading melalui informasi nonpublik, manipulasi pasar dalam bentuk rekomendasi, misleading information, pump and dump, konflik kepentingan dan ketidakpatuhan terhadap prinsip keterbukaan informasi. Praktik ini berdampak pada kerugian finansial bagi investor, distorsi literasi dan edukasi keuangan, serta erosi kepercayaan publik. Kedua, evaluasi terhadap POJK 13/2025 menunjukan bahwa meskipun telah memberikan pengakuan normatif terhadap influencer atau pegiat media sosial, pengaturan tersebut masih terbatas pada hubungan kontraktual dengan Perusahaan Efek dan belum mengatur secara jelas influencer independen, standar keterbukaan informasi, implikasi perizinan sebagai penasihat investasi, serta mekanisme penegakan hukum dan sanksi khusus. Rekonstruksi pengaturan hukum yang diusulkan menekankan pada perlunya norma eksplisit mengenai status, tanggung jawab, dan ruang lingkup aktivitas influencer, baik yang berafiliasi maupun yang independen; penerapan standar keterbukaan informasi; harmonisasi regulasi antar otoritas; dan penguatan mekanisme penegakan hukum. Rekomendasi ini selaras dengan tiga tujuan hukum sebagaimana idee des rechts dari Gustav Radbruch, serta memperkuat perlindungan hukum bagi investor.

    The phenomenon of stock market influencers has become a new trend that influencers public investment behavior. Although it can promote financial literacy, this activity also raises the potential for misappropriation, namely the misuse of information or influence for personal gain that could potentially harm investors.

    This study applies a normative legal research method, which is an approach that focuses on analyzing applicable legal norms and principles. The legal sources used include primary, secondary, and tertiary legal materials. All of these materials are analyzed qualitatively to provide answers to the research questions.

    The results of study show that. First, influencers have the potential to commit misappropriation in the form of recommendations, misleading information, pump and dump, conflict of interest, and non-compliance with the principle of information disclosure. These practices have an impact on financial losses for investors, distortion of financial literacy and education, and erosion of public trust. Second, an evaluation of POJK 13/2025 shows that while it provides normative recognition of influencers or social media activists, the regulation remain limited to contractual relationships with securities companies and do nor clearly address independent influencers, information disclosure standards, licensing implications as investment advisor, or enforcement mechanisms and specific sanctions. The proposed legal restructuring emphasizes the need for explicit norms regarding the status, responsibilities, and scope of activities of influencers, both affiliated and independent; the application of information disclosure standards; regulatory harmonization among authorities; and the strengthening of enforcement mechanisms. This recommendation is in line with the three objectives of law as outlines in Gustav Radbruch's idee des rechts and strengthens legal protection for investors.
