Penerapan Doktrin Piercing The Corporate Veil Dalam Praktek Perseroan Terbatas di Indonesia

Penelitian ini bertujuan untuk menja wab permasalahan yang timbul yaitu sejauhmana doktrin Piercing The Corporate Veil diatur dalam UUPT dan sejauhmana penerapan doktrin Piercing The Corporate Veil dalam praktek Perseroan Terbatas di Indonesia. Metode yang digunakan dalam penelitian ini adalah metode penelitian hukum normatif yang mencakup penelitian terhadap asas-asas hukum dan perbandingan hukum, unsur-unsur dan faktor-faktor yang berhubungan dengan tanggung jawab Pemegang Saham, Direksi dan Komisaris serta penerapan doktrin Piercing The Corporate Veil dalam UUPT. Selain itu penelitian ini juga dapat bersifat deskriptif karena untuk mendeskripsikan sejauhmana penerapan doktrin Piercing The Corporate Veil dalam praktek perseroan terbatas di Indonesia. Hasil penelitian menunjukkan doktrin Piercing The Corporate Veil diatur secara tegas dalam UUPT yaitu dalam Pasal 3 ayat (2), Pasal 7 ayat (4), Pasal 10 jo. Pasal 11 ayat (2) UUPT, Pasal 23 UUPT, Pasal 60 ayat (3) UUPT dan Pasal 85 ayat (2) UUPT. Penerapan doktrin Piercing The Corporate Veil di Indonesia belum sepenuhnya dilaksanakan dengan baik karena beberapa perkara yang diajukan ke Pengadilan - dalam putusan akhir (Peninjauan Kembali) telah menganulir putusan Pengadilan Negeri / Pengadilan Tinggi yang telah menerapkan doktrin Piercing The Corporate Veil.

This research aims to answer problems of arising out that is how far doctrine of piercing the corporate veil arranged in UUPT and of how far applying of doctrine of Piercing the Corporate Veil in practice Limited Liability in Indonesia. The research uses a normative method covering the legal principles and comparison, the elements and factors in relation the responsibility of share holders, Directors and Commisioner and applying of doctrine of piercing the corporate veil in practise limited liability in Indonesia. This research to description how far applying of doctrine of piercing the corporate veil in practice Limited Liability in Indonesia. Result of research show that doctrine of Piercing The Corporate Veil arranged expressley in UUPT that is in Section 3 sentence (2), Section 7 sentence (4), Section 10, Section 11 sentence (2) UUPT, Section 23 UUPT, Section 60 sentence (3) UUPT and Section 85 sentence (2) UUPT. Applying of doctrine of Piercing The Corporate Veil in Indonesia not yet (is) fully executed better because some case brought to trial – in final decision (Sighting Return) have cancelation decision District Court/High Court which have applied doctrine of Piercing The Corporate Veil.
