Implikasi Kekosongan Jabatan Dewan Komisaris Perusahaan Perseroan Daerah (Studi Kasus PT Lembaga Keuangan Mikro X)

Penelitian ini bertujuan untuk menganalisis eksistensi Perusahaan Perseroan Daerah PT LKM X, khususnya dalam konteks kekosongan jabatan Dewan Komisaris. Selain itu, penelitian ini juga mengkaji faktor-faktor yang menyebabkan kekosongan tersebut serta implikasinya terhadap kegiatan operasional perseroan.

Penelitian ini menggunakan jenis metode penelitian yuridis empiris yang bersifat deskriptif yang bersumber dari penelitian kepustakaan dan penelitian lapangan. Penelitian ini mengkaji penerapan hukum di dalam berjalannya PT LKM X yang mengalami kekosongan Dewan Komisaris.

Hasil penelitian menunjukan bahwa: Pertama, ketentuan mengenai habisnya masa jabatan Dewan Komisaris tanpa disertai pengganti atau pengangkatan kembali yang menyebabkan jabatan tersebut kosong tidak secara tegas diatur dalam Undang-Undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas (UUPT), sehingga dalam kasus PT LKM X, kekosongan Dewan Komisaris yang terjadi tidak memengaruhi eksistensinya sebagai badan hukum, namun hal tersebut menyebabkan ketidakpatuhan perseroan terhadap UUPT. Kedua, kekosongan tersebut disebabkan oleh adanya regulasi dalam tahapan pemilihan pengganti Dewan Komisaris PT LKM X, khususnya pada proses seleksi administrasi yang dilakukan secara bertahap dengan jangka waktu yang melebihi ketentuan perundang-undangan; Ketiga, kekosongan posisi Dewan Komisaris PT LKM X mengakibatkan kinerja Direksi dalam pemberian kredit tidak sesuai dengan regulasi perseroan, menimbulkan ketidakpastian terkait tugas dan kewenangan organ perseroan, serta menyebabkan akta perubahan anggaran dasar PT LKM X tidak dapat diberitahukan kepada Menteri melalui pendaftaran dalam Sistem Administrasi Badan Hukum (SABH) setelah pelaksanaan RUPS, dan berpotensi mengakibatkan sanksi administratif hingga pencabutan izin usaha.

This research aims to find out and analyze the existence of the Regional Government-Owned Enterprise PT LKM X, particularly in the context of the vacancy in the Board of Commissioners. Additionally, this research examines the factors contributing to this vacancy and its implications for the company's operational activities.

This study employs an empirical juridical research method with a descriptive approach, drawing from both library research and field studies. It examines the effectiveness of the implementation of legal provisions in the operations of PT LKM X who exprerienced a vacancy in the the Board of Commissioners.

The research findings indicate that: First, the provisions regarding the expiration of the Board of Commissioners' term of office without replacement or reappointment, resulting in a vacancy, are not explicitly regulated by Law Number 40 of 2007 on Limited Liability Companies (UUPT), so in the case of PT LKM X, the absence of a Board of Commissioners does not affect its existence as a legal entity; however, it create the company’s non compliance with the on Limited Liability Companies (UUPT). Second, this vacancy is caused by regulatory provisions governing the selection process for replacing the Board of Commissioners of PT LKM X, particularly the administrative selection stage, which is conducted gradually and exceeds the timeframe stipulated by applicable laws and regulations.  Third, the absence of a Board of Commissioners at PT LKM X results in the performance by the Board of Directors in credit disbursement that isn’t accordance with company regulations, creates uncertainty regarding the duties and authorities of corporate organs, and prevents the notification of amendments to PT LKM X’s articles of association to the Minister through registration in the Legal Entity Administration System (SABH) following the General Meeting of Shareholders (RUPS), and potentially leading to administrative sanctions up to the revocation of the company's business license.
