Penelitian ini bertujuan untuk mengetahui apa saja pelajaran yang didapatkan dari pengaturan dan penerapan klausul non kompetisi (Non Competition Clause) antara Indonesia dan Amerika Serikat secara spesifik pada negara bagian California. Pelajaran tersebut diambil dengan membandingkan pengaturan dan penerapan klausul non kompetisi (Non Competition Clause) antara Indonesia dan California dari berbagai perspektif mulai dari perspektif pengaturan rahasia dagang, pengaturan ketenagakerjaan, dan pengaturan persaingan usaha. Metode penelitian yang digunakan dalam penelitian ini adalah metode yuridis-normatif dengan pendekatan kualitatif. Penelitian ini menggunakan pendekatan comparative case-study dengan menggunakan pendekatan perbandingan perundang-undangan dan pendekatan kasus. Jenis data yang digunakan adalah data sekunder, yang terdiri dari bahan hukum primer, bahan hukum sekunder, dan bahan hukum tersier. Data diperoleh dari penelitian kepustakaan (library research). Selanjutnya data tersebut disusun secara sistematis, untuk kemudian dianalisis secara kualitatif. Berdasarkan hasil pembahasan yang ada, hasil penelitian ini adalah: Pertama, bahwa pada hakikatnya pengaturan antara Indonesia dan California sama-sama melarang penerapan Non Competition Clause namun pengaturan California lebih adaptif sebab terdapat beberapa bentuk pengecualian yang diakomodir. Kedua, penerapan hukum di Indonesia lebih condong pada kepastian dan keadilan hukum sementara California lebih condong pada kemanfaatan hukum. Ketiga, pelajaran atas pembahasan ini antara lain Indonesia perlu menerapkan pengaturan Non Competition Clause secara sempit, perlu membatasi pekerja yang terikat dengan Non Competition Clause, dan menerapkan Non Competition Clause pada beberapa skema tertentu seperti penjualan bisnis, perjanjian kerjasama bisnis, dan anggota direksi perseroan terbatas.
This research aims to find out what lessons can be learned from the regulation and implementation of the Non Competition Clause between Indonesia and the United States specifically in the state of California. The lessons are taken by comparing the regulation and application of Non Competition Clause between Indonesia and California from various perspectives ranging from the perspective of trade secret regulation, labor regulation, and business competition regulation. The research method used in this research is the juridical-normative method with a qualitative approach. This research uses a comparative case-study approach by using a comparative approach to legislation and a case approach. The type of data used is secondary data, which consists of primary legal materials, secondary legal materials, and tertiary legal materials. Data obtained from library research. Furthermore, the data is arranged systematically, and then analyzed qualitatively. Based on the results of the discussion, the results of this study are: First, that the regulation between Indonesia and California both prohibit the application of the Non Competition Clause but California's regulation is more adaptive because there are several forms of exceptions that are accommodated. Second, the application of law in Indonesia is more inclined to legal certainty and justice while California is more inclined to legal utility. Third, the lessons learned from this discussion include that Indonesia needs to apply the Non Competition Clause regulation narrowly, needs to limit workers who are bound by the Non Competition Clause, and apply the Non Competition Clause to certain conditions such as business sales, business cooperation agreements, and members of the board of directors of limited liability companies.
