Privatisasi BUMN suatu kajian yuridis :: Studi kasus PT Semen Gresik Persero

Penelitian ini bertujuan untuk memperoleh pemahaman tentang Privatisasi yang dilaksanakan terhadap Badan Usaha Milik Negara serta mengidentifikasi metode yang digunakan dalam pelaksanaan privatisasi, faktor-faktor pendorong, sasaran yang akan dicapai dan hambatan-hambatan yang ada. Penelitian ini d~ laksanakan di PT Semen Gresik Persero Tbk, Gresik, Jawa Timur. Metode pengumpulan data dilakukan melalui studi pustaka dan penelitian lapangan. Dilakukan juga wawancara dengan staff kementrian negara BUMN, direktur PT Semen Gresik Persero, dan Direktur Cemex Asian Investment NV. Data yang diperoleh dianalisis secara kualitatif dan hasilnya disaj ikan secara deskriptif. Penelitian ini didasarkan pada pendekatan normatif. Hasil penelitian menunjukkan bahwa terhadap BUMN-BUMN perlu diadakan restrukturisasi perusahaan yang merupakan bagian dari program privatisasi guna meningkatkan efisiensi dan produktifitasnya. Adapun Sasaran yang diharapkan dari program privatisasi adalah: untuk mendapatkan dana, alih teknologi, membayar hutang luar negeri, dan membiayai proyek-proyek pemerintah. Seperti privatisasi yang dilakukan oleh pemerintah terhadap PT Semen Gresik Persero Tbk dimana dilakukan dengan 2 cara yaitu dengan IPO (Initial Public Offering) melalui penawaran saham dan juga berpartner dengan mitra strategis, Cemex S.A de C.V. Ternyata dalam pelaksanaannya proses privatisasi di Indonesia, khususnya pada Semen Gresik mengalami beberapa hambatan seperti: privatisasi kurang memberi manfaat setinggi-tingginya bagi masyarakat, kurangnya sosialisasi tentang rencana privatisasi, belum adanya dasar hukum tentang privatisasi , kekhawatiran hilangnya kemudahan yang dapat dinikmati oleh para direksi dan komisaris BUMN. Juga ketakutan Pemda setempat akan hilangnya sumber pendanaan.

The aims of this research are to get the understanding about privatization that are implemented by state owner enterprise and to identifj the method that is used in implementation of privatization will be achieved and the restrictions. This research was performed at PT Semen Gresik Persero Tbk, Gresik, Jawa Timur. The method of collecting data performs through library research and field research. It was also through interview with the ministry staff of state owner enterprise, The director of PT Semen Gresik Persero and the director of Cemex Asian Investment NV. The data was analized qualitatively and the result was research descriptively. This research is based on the normative approach. The result shows that privatization needs to implement to the state owner enterprise, to increase the efficiency and productivity. The target of privatization are to get fund, to transfer of the technology, to pay the debt to the abroad and to fund the governments project as the privatization of PT Semen Gresik Persero Tbk which has been implemented into two ways, those are PO (Initial Public Offering) by tender offering and also having relationship with strategic partner, Cemex S.A. de C.V. However, there are restrictions factor for instance the lack of giving benefits to people, the lack of the socialisation of privatization program, no basic law that be implemented to state owner enterprise, the worry of lossing of the ease that can be enjoyed by the management and the comissioner of state owner enterprise. Also the anxiety of the local governance for the loosing of the source of fund.
