Kepastian hukum bagi waralaba di Indonesia dengan pemberi waralaba dari Amerika Serikat

Tujuan penelitian ini adalah : untuk mengetahui bentuk kepastian hukum bagi dunia usaha yang menjalankan waralaba di Indonesia, dan keterkaitan peraturan hukum Amerika Serikat dalam usaha waralaba di Indonesia. Jumlah responden yang digunakan dalam penelitian sebanyak 4 responden yang merupakan 25% dari populasi, serta responden yang bersedia diwawancarai sebanyak 2 responden. Cara pengumpulan data dilakukan melalui wawancara yang didasarkan pada pertanyaan-pertanyaan sebagai berikut: Bagaimana penilaian responden terhadap kepastian hukum bagi waralaba di Indonesia? Bagaimana penilaian Responden terhadap kepastian hukum bagi waralaba di Amerika Serikat? Apakah perjanjian waralaba antara Penerima waralaba dengan Pemberi waralaba dibuat dalam bahasa Indonesia? Apakah pilihan hukum yang disepakati untuk diberlakukan pada perjanjian waralaba yang dibuat antara Penerima waralaba dengan Pemberi waralaba dari Amerika Serikat, adalah tunduk pada hukum yang berlaku di Indonesia? Hasil penelitian menunjukkan bahwa kepastian hukum bagi waralaba di Indonesia telah dijamin dengan adanya peraturan hukum yang berkaitan dengan tahap penawaran peluang waralaba, tahap pelaksanaan waralaba, dan tahap pemberhentian waralaba. Peraturan Pemerintah RI Nomor 16 Tahun 1997: tentang Waralaba, belum menjamin sepenuhnya hak-hak Pemberi waralaba dan Penerima waralaba karena tidak secara spesifik mengatur tentang tahap penawaran peluang waralaba dan tahap pemberhentian waralaba. Peraturan hukum Amerika Serikat yang diadopsi oleh peraturan hukum tentang waralaba di Indonesia adalah Title 16-Commercial Practices;Revised as of January 1,1986 Chapter 1-Federal Trade Commision Subchapter D-Trade Regulation Rules Part 436-Disclosure Requirements and Prohibitions concerning Franchising and Business Opportunities Ventures (FTC). Ketentuan FTC yang diadopsi hanyalah menyangkut kewajiban berhubungan dengan pendaftaran.
The measurement of law certainty for the franchising depends on whether all rights that must be gained by the sides to stakeholders in the franchising business, is respected and fulfilled. The aim of this research is in order to know the form of law certainty for the world of business that operate franchising in Indonesia, and relation among the regulations of United States of America in the business of franchising in Indonesia. The number of population that is used in this research as many 4 respondents. This number is 25% from population, and there are 2 respondents that are ready to be interviewed. The data is collected through interviewing that is based on some questions. Those questions are; Ho w is the evaluation of respondent to the certainty of law for the franchising in Indonesia? How is the evaluation of respondent to the certainty of law for the franchising in United States of America? Is the franchising agreement between franchisee and franchisor written in Indonesia language? Does the choice of law that is agreed to be done on the franchising agreement that is made between franchisee and franchisor from United States of America, obey the rules that is valid in Indonesia? The result of research shows that, the ce rtainty of law for the franchising in Indonesia is guaranteed with the existence of legal rules that relates to the phase of franchising opportunity, franchising enforcement and franchising withdrawal. The Government Regulation of the Republic of Indonesia under Ruler no: 16 year 1997 concerning franchising, does not guaranteed completely yet about the rights of franchisee and francisor because it is not specifically to regulate about the phase of franchising opportunity and the phase of franchising withdrawal. The legal regulation of the United States of America that is adopted by legal regulation about franchising in Indonesia is Title 16-Commercial Practices;Revised as of January 1,1986 Chapter 1-Federal Trade Commision Subchapter D-Trade Regulation Rules Part 436-Disclosure Requirements and Prohibitions concerning Franchising and Business Opportunities Ventures (FTC). The determinates of FTC that is adopted , just concern to the obligation about registration.
