The Implementation of Business Judgment Rule in State-Owned Enterprise in Indonesia (A Case Study on Supreme Court Decision No. 121 K/Pid.Sus/2020)

Tujuan dari penelitian hukum ini adalah untuk mengungkap implementasi Business Judgment Ruel (BJR) pada Badan Usaha Milik Negara (BUMN) melalui pembelajaran studi kasus. Penelitian hukum ini akan menganalisa tindakan hukum yang dilakukan oleh Terdakwa yang memenuhi BJR dalam Putusan Mahkamah Agung No. 121 K/Pid.Sus/2020. Kurangnya pengenalan dan implementasi BJR kepada direksi BUMN mendorong penulis untuk menganalisa pertimbangan Majelis Hakim pada Putusan Mahkamah Agung No. 121 K/Pid.Sus/2020 dalam mengakui BJR yang menjadi dasar untuk membebasakan Terdakwa. Metode yang digunakan dalam penelitian hukum ini adalah metode penelitian hukum normatif dengan menggunakan Putusan Mahkamah Agung sebagai studi kasus. Data yang digunakan dalam penelitian hukum ini adalah data sekunder yang terdiri dari hukum, putusan pengadilan, doktrin hukum, dan studi literatur yang relevan terhadap topik. Setelah semua data telah dikumpulkan, analisa akan dilaksanakan dengen pendekatan kualitatif. Penulis akan menganalisa data sekunder dalam bentuk hasil analisa kualitatif, dimana riset ini akan mengidentifikasi elemen BJR yang ada dalam Putusan Mahkamah Agung No. 121 K/Pid.Sus/2020. Temuan dari penelitian hukum ini menyimpulkan bahwa Terdakwa dari Putusan Mahkahmah Agung No. 121 K/Pid.Sus/2020 telah memenuhi unsur BJR dalam membuat keputusan bisnis sebagai direksi BUMN. Lebih lanjut, Majelis Hakim dari Putusan Mahkahmah Agung No. 121 K/Pid.Sus/2020 telah mengakui doktrin BJR dengan mempertimbangkan resiko bisnis yang dihadapi oleh Terdakwa.

The purpose of this legal research is to reveal the implementation of the Business Judgment Rule (BJR or the Rule) in State-Owned Enterprise (SOE) through examining a case study. This legal research aims to analyze the legal actions made by the Defendant in the Supreme Court Decision No. 121 K/Pid.Sus/2020 that fulfilled the elements of the Rule. The lack of recognition and implementation of the Rule towards directors in SOE prompted the author to analyze the Judges���¢�¯�¿�½�¯�¿�½ considerations in the Supreme Court Decision No. 121 K/Pid.Sus/2020 into acknowledging the Rule that acquitted the Defendant. This legal research is a normative research that uses a Supreme Court decision as a case study. The data in this legal research relies on secondary data that includes laws, court decisions, legal doctrines, and literature studies that are relevant to the topic. Once the data are gathered, the analysis is conducted using a qualitative approach. The author will analyze the secondary data under the form of qualitative analysis result, in which it will identify the element of the Rule in the Supreme Court Decision No. 121 K/Pid.Sus/2020. This legal research concludes that the Defendant in the Supreme Court Decisions No. 121 K/Pid.Sus/2020 has fulfilled the elements of the Rule while implementing a business decision as a director of SOE. Furthermore, the Judges in the Supreme Court Decisions No. 121 K/Pid.Sus/2020 has finally recognized the Rule by considering the business risk taken by the Defendant in the case.
