Technology plays significant role in strengthening local industry therefore many countries invest their dollars to capture it. The formal mode of adopting technology is technology transfer and it is conceptualized as a learning process which in the manufacturing learning model, proposed by Kumar, is ended with innovation. Based on this model, the author try to elaborate how measure individual innovation capabilities in a simple way and propose a model for that. This study will analyze the individual ability to innovate by exploring "how much'' new knowledge had been acquired by them and how much this knowledge been developed based on their prior knowledge. A proxy model adapted fiom manufacturing learning stages is constructed. In technology transfer the activity of learning is one of its processes. Technology transfer deals with some (tangible) parts that is related to physical transfer and some (intangible) parts that is related to knowledge transfer. Present study will examine particularly on knowledge transfer. Learning is a process of acquiring knowledge, skills and attitudes in terms of enhancing the cognitive, practical and mental ability needed to perform a specific job. The ability to learn means the ability to imitate or we can define as the activity of acquiring information, knowledge and slll from other sources and then uses this ability to perform a task. The ability to exploit external knowledge is thus a critical component of innovative capabilities (Cohen and Levinthal 1996). The main idea of present study is elaborating the mechanism (model) of achieving innovation by learning and then modfzes the learned knowledge. It will analyze the relationship between knowledge acquisition (conceptualized as the act of learning and imitating) and knowledge development (conceptualized as the act of modifymg the acquired knowledge). The final result of this sequence will lead to innovation ability. Thus, assessing innovative capabilities on individual level can be done by measuring how much knowledge they have been acquired and how much knowledge they have been developed. The proposition is the higher the ability to acquired knowledge and the ability to develop knowledge the higher the innovation ability will be. If a positive correlation between X and Y occurs then potential innovative capabilities is higher. Present study shows moderately high correlation of X to Y for all cases. It indicates that Mattel employees have a potential to do innovation. The study found that for all cases there are correlation between X and Y. This study proved knowledge development is closely related to knowledge acquisition. A moderately strong correlation may indicates knowledge acquisition is a function of knowledge development. A high correlation supported with high X and Y will give in turn high innovative capabilities. With this result, Mattel has the opportunity to achieve it's vision. However, this must be supported with good climate. Keywords: techrzology transfer, initovatiori, learriirig, iririovatiorz capabilities
