Tujuan dari Penelitian Hukum ini adalah untuk menganalisis suatu kasus tentang penerbitan Obligasi Konversi selama Penundaan Kewajiban Pembayaran Utang PT Multi Struktur. Penelitian Hukum ini menganalisis bagaimana Obligasi Konversi dapat menyampaikan itikad baik dan kepastian hukum kepada kreditor PT Multi Struktur dan bagaimana pemilih mayoritas memengaruhi pengambilan keputusan tentang Penundaan Kewajiban Pembayaran atas Hutang. Penelitian Hukum ini adalah penelitian studi kasus menggunakan kerangka normatif-empiris yang mengandalkan terutama pada penelitian lapangan dalam bentuk wawancara dengan dukungan studi literatur. Penelitian ini menggunakan analisis kualitatif untuk menganalisis data yang dikumpulkan. Penelitian Hukum menyimpulkan bahwa pertama, Obligasi Konversi memang menyampaikan itikad baik dan kepastian hukum sampai batas tertentu. Kedua, mayoritas voter memiliki hak untuk menentukan skema pembayaran dan metode pembayaran atas nama semua kreditor.

The purpose of this Legal Research is to analyze a case about the issuance of Convertible Bond during Postponement of Payment Obligation of Debts of PT Multi Structure. This Legal Research analyzes how the Convertible Bonds can convey good faith and legal certainty to PT Multi Structure's creditors and how the majority voters affect the decision making of the Postponement of Payment Obligation of Debts. This Legal Research is case study research utilizes a normative-empirical framework relying primarily on field research in the form of interview with the support of literature studies. This research used qualitative analysis to analyze the data collected. The Legal Research concludes that firstly, the Convertible Bonds does convey good faith and legal certainty to a certain extent. Secondly, the majority voters have the right to determine the payment scheme and the payment method on behalf of all the creditors.
