Analisis Tindakan Go Private PT. Aqua Golden Mississipi tahun 2001-2010 (Studi Kasus)

Go private merupakan proses dimana suatu perusahaan terbuka melakukan perubahan statusnya menjadi perusahaan tertutup. Sampai dengan penelitian ini dilaksanakan, Indonesia belum memiliki peraturan yang secara langsung mengatur pelaksanaan go private. Peraturan yang digunakan selama ini adalah peraturan tentang benturan kepentingan dan penawaran tender.
Penelitian ini menggunakan metode penelitian studi kasus atas tindakan go private yang dilaksanakan oleh PT AQUA Golden Mississippi, perusahaan produsen Air Minum Dalam Kemasan (AMDK) terkemuka di Indonesia. AQUA melakukan tindakan go private sebagai bagian dari rencana induk perusahaan, yaitu Grup Danone untuk mengkonsolidasikan usahanya di Indonesia dan juga karena struktur permodalan AQUA yang telah solid sehingga tidak lagi memerlukan pembiayaan dari luar perusahaan. Selain alasan yang diberikan oleh AQUA tersebut, perubahan status AQUA menjadi perusahaan tertutup disinyalir merupakan suatu langkah untuk menutup akses public terhadap tindakan eksploitasi sumber air yang telah dan akan dilakukan oleh AQUA di seluruh Indonesia.
Go private is the process whereby a listed company to change its status to a private company. Until the research is conducted, Indonesia does not have legislation that directly oversees the implementation go private. Regulation of use for this is the rules regarding conflicts of interest and the tender offer.
This research uses case study research method to go private for the actions undertaken by PT Aqua Golden Mississippi, the company producing Bottled Drinking Water (drinking water) in Indonesia. AQUA take action to go private as part of a corporate master plan, namely the Group Danone to consolidate their operations in Indonesia and also because of the capital structure that has been solid, AQUA therefore no longer require funding from outside the company. In addition to the reasons given by the AQUA, a change of status of a private company allegedly AQUA is a step to close public access to water resources exploitation actions that have been and will be done by AQUA throughout Indonesia.
