Evaluasi Penerapan good Corporate Governance Studi Kasus Di PT Pembangkitan Jawa-Bali

Krisis finansial di Asia Timur dan Tenggara pada 1997 yang melanda Thailand, Korea Selatan, Malaysia, Filipina dan Indonesia, hancurnya dua perusahaan besar yaitu Enron dan WorldCom, serta meledaknya krisis subprime mortgage di Amerika Serikat mengingatkan kita akan pentingnya penerapan Good Corportae Governance (GCG). Menyadari arti pentingnya praktik GCG sebagai kebutuhan global yang tidak dapat dihindari, pada tahun 2000 Kementerian BUMN mengeluarkan ketentuan yang mewajibkan implementasi GCG di BUMN (Kepmen Negara BUMN PM-PBUMN No.23/M-PM.PBUMN/2000). Lingkup bisnis BUMN yang luas dan terkait dengan hajat hidup orang banyak, mulai dari bidang ketenagalistrikan, telekomunikasi, pelabuhan, bandara, dan lain sebagainya, memainkan peranan penting bagi perekonomian nasional. Oleh sebab itu, pengelolaan BUMN secara amanah, transparan dan profesional menjadi kebutuhan dalam mendorong iklim investasi yang kondusif, tak terkecuali bagi PT Pembangkitan Jawa-Bali (PT PJB) sebagai salah satu BUMN di bidang ketenagalistrikan yang merupakan anak perusahaan PT Perusahaan Listrik Negara (PT PLN Persero).
Tujuan dari penelitian ini adalah untuk mengevaluasi penerapan GCG tahun 2009 di PT PJB. Penelitian ini menggunakan data primer dan sekunder. Data primer berupa hasil wawancara dengan pihak perusahaan. Data sekunder berasal dari dokumentasi perusahaan.
Untuk melakukan evaluasi terhadap penerapan GCG, penelitian ini menggunakan metode kualitatif dengan analisis deskriptif. Hasil penelitian menunjukkan bahwa pada dasarnya PT PJB telah menerapkan GCG sesuai dengan peraturan yang berlaku, meskipun pada aspek tertentu masih diperlukan beberapa upaya perbaikan.

Recognizing the importance of good corporate governance practices as global needs that can not be avoided, in 2000 the Ministry issued a regulation requiring state implementation of GCG in SOEs (Kepmen PM-PBUMN No.23/M-PM.PBUMN/2000). Broad scope of state- owned business and related to the welfare of the majority, ranging from the fields of electricity, telecommunications, ports, airports, etc. play an important role for the national economy. Therefore, the management of SOEs is trustworthy, transparent and professional become a necessity in promoting a conducive investment climate, not least for the PT Pembangkitan Jawa-Bali (PT PJB) as one of the SOEs in the electricity sector which is a subsidiary of PT PLN (Persero).
The purpose of this study was to evaluate the implementation of GCG in 2009 at PT PJB. This study uses primary and secondary data. Primary data of the interview with the company. Secondary data derived from company documentation.
To evaluate the implementation of GCG, this study used a qualitative descriptive analysis method. The results showed that basically GCG PT PJB has applied in accordance with applicable regulations, although certain aspects are still needed some improvement.
