ABSTRACT This writing tries to analyze the representation of good governance in CSR management through the Cilegon City multi-stakeholder forum. This could be seen from the CCSR multi-stakeholder forum's capacity in applying accountability and transparency in the implementation of CSR in Cilegon City. Hence, this research's purpose is to unravel the degree of transparency and accountability of CCSR institution in the Cilegon City's CSR application. And to discover the CCSR urgency in it's role as multi-stakeholder forum. The main theory in this research is the principle of good governance especially the use of transparency and accountability theory. The research method of case study is used in this study. To analyze deeper, the study relevance to transparency and accountability of multi-stakeholder forums, interview, observation, and document analysis technique was used. The end result to the research point that the transparency degree of CCSR institution is on the isolatives transparence degree, so as the accountability degree of CSSR institution, which tend to be on the technocratic level. Where the management of the CSSR institution only supported in the technocratic level. These shows that the implementation of CSR that involves public is merely formality. The CSSR institution lack in public involvement during the process of CSR regulation making, this worsened by bad dissemination of CSSR institution, the low public capacity to determine the CSR program, and employee without competency in actualizing the public needs in CSR management. Although the presence of CCSR institution as multi-stakeholder has positive contribution towards CSR management in Cilegon City, especially in equalizing CSR implementation and reducing the risk of program overlap in the same region. Unfortunately this institution has some weakness, thus affecting its performance as multi-stakeholder forum. Some modification that can be done including: the transparency aspects, by opening access to public. Whereas in accountability aspects, alteration can be made by enhancing institution's social accountability towards the publique. Key words: multi-stakeholder, transparency, and accountability
