Abstract In the reformation era, capitalism that was growing fast in Indonesia, as Yoshihara Kunio (1990) called, is ersatz capitalism. It due to the growing of capitalism in Indonesia is depend on government role. This argument is still happening today. But, there is the difference between capitalism is the earlier reformation is in the national level, but after the implementation of local autonomy, become local level. So, the relation between businessman and authority holder thrives in many provinces in Indonesia. The author put Malang Regency as a case study in this research to understand the form of relation between businessman and the authority. The author use patron-client relationship, as concept to analyse the case study. The type of case study is single case study. Meanwhile, the type pf data is primary data with doing in dept interview and documentation. The final stage of this research is data analyse. The author use flow chart model to ease to analyse the data. Finally, the conclusion is the relation between businessman and authority holder in Malang Regency shows leads to patron-client relation form. Meanwhile, a mutual relation mutual hostage pattern is carried out due to the big bargaining power from both side. Moreover, in obtaining an agreement between the businessman and authority holder in that patron-client relation, both side apply a political transaction. Bargaining process is carried out to reach an agreement that is beneficial between them. In addition, from this study can be seen that as patron-client relationships at the local level had hijacked the local democratic process through election.
