LEGALITAS PEMINDAHAN HAK ATAS SAHAM YANG DILAKUKAN OLEH DIREKTUR PT TCI YANG TELAH MENGAJUKAN PENGUNDURAN DIRI

Tujuan penelitian tesis ini adalah untuk menganalisis mengenai legalitas pengunduran diri Tuan. TP sebagai Direktur PT TCI tanpa penyelenggaraan RUPS, kemudian menganalisis legalitas pemindahan hak atas saham PT TCI pada PT ICM kepada PT TP dan MYP oleh Direktur tersebut dan terakhir menganalisis mengenai akibat hukum dari pemindahan hak atas saham tersebut. Metode penelitian yang digunakan adalah normatif empiris. Penelitian ini menitikberatkan pada penelitian kepustakaan dengan alat studi dokumen guna mendapatkan data sekunder dan didukung dengan penelitian lapangan untuk mendapatkan data primer yang dilakukan dengan wawancara. Data tersebut dianalisis secara kualitatif yang menghasilkan data deskriptif analitis. Hasil penelitian sebagai berikut: pengunduran diri Tuan. TP sebagai Direktur PT TCI sah dengan diajukannya surat pengunduran diri tanpa memerlukan persetujuan RUPS, kemudian pemindahan hak atas saham PT TCI pada PT TP dan MYP tidak sah karena tidak memenuhi unsur subyektif syarat sahnya Perjanjian yaitu Pasal 1320 KUHPerdata Cakap Untuk Membuat Suatu Perjanjian, sehingga pemindahan hak atas saham tersebut dapat dimintakan pembatalan dan dapat dibatalkan dengan mengajukan gugatan perdata kepada Pengadilan Negeri.

The purpose of this research is to analysis regarding to legality of resignation Mr. TP as the Director of PT TCI without the General Meeting of Shareholders, then analyze legality of shifting right of share PT TCI of PT ICM to PT TP and MYP by the Director and last analyze regarding legal consequences that shifting right of share. The research method used is normative empirical. This research relies on a library study using the instrument of document study for obtaining the secondary data and supplemented with a field research for deriving the primary data from interviews. The data are analyzed qualitatively to produce analytical descriptive data. The results of research as follows: resignation Mr. TP as the Director of PT TCI legal with the submit resignation letter without approval General Meeting of Shareholders, then shifting right of share PT TCI of PT ICM to PT TP and MYP by the Director illegal because not eligible lawful subjective elements as Article 1320 Civil Code regarding to Able to Make an Agreement, so that, shifting the right of share can be sought the cancellation with submitted by means of a proposed Civil Claim of District Court.
