KEDUDUKAN TRUSTEE DALAM LIPPO-MALLS INDONESIA RETAIL TRUST (LMIRT)

Trusteeship bukan merupakan suatu istilah yang umum dikenal dalam sistem hukum Indonesi, hal tersebut dikarenakan istilah tersebut dikenal dalam sistem hukum common law. Lippo Malls Indonesia Retail Trust, yang dikenal dengan LMIRT adalah contoh yang baik dimana trusteeship yang memegang aset di Indonesi sementara pada saat yang sama terhubung secara langsung dengan sistem hukum asing, yaitu dalam hal ini sistem hukum yang merefleksikan dan mencontoh dari sistem hukum common law. Trustee dalam LMIRT adalah HSBC institutional trust services (Singapore) dimana dasar hukum maupun keberadaannya mengacu kepada akta trust tertanggal 8 August 2007. Dalam penelitian ini, Penulis menekankan kepada kedudukan dan tanggung jawab dari trustee dalam LMIRT terkait dengan aksi korporasi yang dilakukan olehnya di teritori Indonesia. Metode penelitian ini adalah penelitian normatif yang mengedepankan pada studi literatur untuk memperoleh data sekunder dari dokumen hukum. Penulis juga menganalisa dasar hukum dan konsep trustee dari sistem hukum common law sebagaimana yang tercermin didalam pelaksanaannya, termasuk hak dan kewajibannya, termasuk pengakhirannya. Dari penelitian yang dilakukan oleh Penulis, jelas ditemukan bahwa trusteeship didasari sepenuhnya dari hubungan, yang mewajibkan the trustee untuk bertindak menurut syarat yang jelas sebagaimana tersebut didalam akta trust. Bilamana untuk alasan apapun juga, the trustee bertindak diluar atau mengesampingkan apa yang telah tersebut didalam akta trust, maka trusteeship dapat diakhiri. Trustee juga berkewajiban untuk memelihara dan bertindak dengan upaya terbaiknya untuk menciptakan nilai tambah pada trust fund, sehingga beneficiary dapat memperoleh keuntungan. Bilamana untuk alasan apapun juga, ada sengketa sebagai hasil dari aksi korporasi yang telah dilakukan oleh trustee, maka pilihan hukum dan pilihan domisili hukum adalah hukum Singapora dan Singapore International Arbitration Centre, mengingat penegakan hukum di Indonesia berikut dengan penegak hukum dilapangan, diragukan keberadaannya.

Trusteeship is not a common term in the Indonesian legal system, since it is known only in the common law system. Lippo Malls Indonesia Retail Trust, widely known as LMIRT is a good example on which trusteeship who hold Indonesian asset while at the same time bound and connected directly with foreign legal system, which in this case is Singapore Legal System which reflect and mirroring from common law system. Trustee in LMIRT is HSBC institutional trust services (Singapore) whereas its legal ground or existence is based on trust deed dated August 8, 2007. In this research, the author would like to emphasize on the position and responsibilities of the trustee of LMIRT toward the corporate action which is held in the Indonesian territory. The method of this research is normative research which stressing on literature study to gain secondary data from legal materials. The author also analyzing the common ground and concept of trustee from the common law system which reflects on its implementation, as well its rights and obligation, including its termination. From the research found by the author, clearly being found that trusteeship is solely based on relationship, which obliged the trustee to act according to the clear terms as mentioned in the trust deed. If for any reason, the trustee act denying or put aside, what is mentioned in trust deed, therefore, trusteeship may be ended. Nevertheless, the trustee is obliged to maintain and do its best effort to create a value added on the trust fund, so the beneficiary may take advantage on it, if for any reason there’s a dispute as the result of corporate action which was done by the trustee, therefore, the choice of law and choice of forum is Singapore Law and Singapore International Arbitration Centre, since the law enforcement in Indonesia as well the executor, is at question and doubtfull.
