Implikasi piercing the corporate veil bagi pemerintah selaku pemegang saham mayoritas persero terhadap kerugian keuangan negara

Penelitian ini bertujuan untuk mengetahui dan menjawab permasalahan kedudukan Persero terhadap keuangan negara, penerapan prinsip Piercing the Corporate Veil terhadap pemerintah selaku pemegang saham mayoritas Persero, dan implikasinya terhadap kerugian keuangan negara. Metode yang digunakan dalam penelitian ini adalah metode penelitian hukum normatif yang dilakukan dengan cara penelitian kepustakaan guna memperoleh data sekunder. Metode yang dilakukan mencakup asas-asas hukum, unsur-unsur dan faktor-faktor yang berhubungan dengan kedudukan Persero terhadap keuangan negara, penerapan prinsip Piercing the Corporate Veil bagi pemerintah, dan unsur-unsur kerugian keuangan negara. Hasil penelitian menunjukkan bahwa Persero merupakan badan hukum mandiri dengan kekayaan yang terpisah dan tidak lagi menjadi bagian dari keuangan negara. Persero dikelola menurut hukum perseroan dan berlaku prinsip Piercing the Corporate Veil bagi pemerintah selaku pemegang saham mayoritas. Penerapan prinsip Piercing the Corporate Veil bagi pemerintah membebankan tanggung jawab yang tak terbatas sampai dengan kekayaan pribadi pemerintah, yaitu keuangan negara. Ganti rugi sebagai akibat penerapan prinsip Piercing the Corporate Veil menyebabkan timbulnya kerugian keuangan negara.

This research attempts to know and find the answers of problems dealing with the position of Persero to state finance, the appliance of Piercing The Corporate Veil principle for government as Persero’s majority shareholder, and the impact of it to state finance’s loss. This research uses a normative method through document investigation to collect secondary data. The method covering the legal principles, the elements and factors in relation with the position of Persero to state finance, the appliance of Piercing The Corporate Veil principle for government, and the elements in relation with state finance’s loss. The result of research shows that Persero is a legal entity which has its separate assets distinct from those of its shareholders and not anymore being a part of state finance. Persero’s managed with the rules of corporate law which applying Piercing the Corporate Veil principle, including for the government as Persero’s majority shareholder. Piercing the Corporate Veil principle gives government unlimited liability including its personal assets which known as state finance. State finance’s cash outflow as consequences of applying Piercing the Corporate Veil principle cause the state finance’s loss.
