Penerapan prinsip-prinsip Good Corporate Governance pada Lembaga PTN :: Studi kasus pada UGM

Sebagai sistem, proses, dan seperangkat peraturan yang mengatur hubungan antara stakeholders, dengan corporate governance seharusnya bisa dibangun kolaborasi yang sinergis diantara komponen governance yang setara sehingga tercipta jaringan kegiatan dalam merumuskan dan melaksanakan sebuah kebijakan. Persoalannya diantara komponen governance yang ada nampaknya belum siap sepenuhnya untuk mewujudkan hal tersebut. Selain itu terdapat juga permasalahan dalam pelaksanaan prinsip-prinsip good corporate governance, di mana masih banyak kebijakan ataupun program-program yang bertentangan dengan prinsip-prinsip good corporate governance. Penelitian ini menggunakan metodologi deskriptif kualitatif untuk menggambarkan hubungan antar aktor di dalam model corporate governance dan pelaksanaan prinsip-prinsip good corporate governance di lembaga perguruan tinggi negeri, dalam hal ini di UGM. Sedangkan data diperoleh dari informan kunci yang merupakan stakeholders di UGM. Teknik pengumpulan data yang digunakan adalah dokumentasi, observasi, dan wawancara untuk mendapatkan informasi yang lengkap untuk selanjutnya dianalisis. Berdasarkan hasil penelitian dapat diketahui hubungan antar aktor dalam model corporate governance di UGM tidak berjalan dengan efektif dan lebih sekedar untuk memenuhi ketentuan yang berlaku atau sebatas pada tingkat prosedural. Sedangkan pelaksanaan prinsip-prinsip good corporate governance juga tidak berjalan dengan baik yang ditandai dengan munculnya berbagai masalah serta masih banyaknya program-program yang justru bertentangan dengan prinsip-prinsip tersebut. Adapun rekomedasi yang ditawarkan adalah merevisi berbagai peraturan yang menimbulkan ketidakjelasan tugas dan fungsi masingmasing organ universitas dan meningkatkan koordinasi pada tingkat organ universitas, baik secara personal maupun kelembagaan. Sedangkan untuk menjamin terciptanya prinsip-prinsip good corporate governance, pihak UGM harus segera menerapkan prinsip ini secara konsisten dan mengeliminasi berbagai program yang tidak sesuai dengan prinsip-prinsip tersebut pada khususnya dan yang tidak sesuai dengan visi dan misi sebagai perguruan tinggi negeri pada umumnya. Selain itu perlu dikembangkan budaya korporasi agar good corporate governance tidak sekedar sebagai asesoris dan hanya sekedar kepatuhan yang bersifat prosedural.

As a system, process, and set of rules that regulate relations among stakeholders, to corporate governance they must be able to build a synergic collaboration among equaled governance components so that they were able to create an activity network in formulating and performing a policy. The problem among the governance components was that they didn’t completely prepare yet to realize it. Besides that, there was a problem in performing good corporate governance principles, and there were many programs that contradicted the good corporate governance principles. This research used a qualitative descriptive method for describing inter-actor relations in the corporate governance model an the implementations of good corporate governance principles in the state college institution, in this case Gadjah Mada University. The data collection techniques used were documentation, observation, and interview for getting complete information to be analyzed. Based on the research’s results we were able to know that the interactor relations in the Gadjah Mada University corporate governance model ineffective yet, showed by the emergency of various problems and there were still many programs that contradicted the good corporate governance principles. The recommendations that we offer are to revise various regulations which given rise to task and function ambiguities of each university organ and to improve coordinations at university organ level, in both personal and institutional. While for creating the good corporate governance principles, the Gadjah Mada University part must apply these principles immediately and consistenly and eliminate various programs that didn’t match the principles in particular and that didn’t agree with the vision and mission as a state college in general. Besides that, it need to develop to corporate culture in order that good corporate governance principles is not just for the sake of accessories and the procedural obedience.
