ANALYSIS ON THE IMPLEMENTATION OF FINANCIAL LEASE RELATED TO AIRCRAFT PROCUREMENT OF PT.GARUDA INDONESIA (PERSERO) Tbk. BASED ON UNIDROIT MODEL LAW ON LEASING AND CAPE TOWN CONVENTION

Ini adalah salah satu alas an mengapa UNIDROIT Model Law muncul. Peraturan ini dibuat dengan tujuan untuk menyatukan dan mengkoordinasi hukum perdata internsional antar Negara. Namun, jika lessee gagal untuk memenuhi kewajibannya (default), the lessor mempunyai kepastian hukum untuk membatalkan perjanjian dan melakukan de-registrasi pesawat udara dan Konvenai Cape Town Penulisan hukum ini merupakan penelitian hukum normatif-empiris yang analisisnya sangat bergantung kepada data sekunder dengan didukung oleh data primer. Skripsi ini juga memuat analisis dari pelaksanaan finance lease sesuai dengan UNIDROIT Model Law on Leasing dan Cape Town Convention. Penulis menemukan bahwa pelaksanaan dari finance lease yang berhubungan dengan pengadaan pesawat oleh PT.Garuda Indonesia telah sesuai dengan ketentuan diatur dalam dalam UNIDROIT Model Law on Leasing dan Konvensi Cape Town perihal hak dan kewajiban dari Lessor dan Lesso serta yuridiksi. Konsekuensi jika lessee gagal untuk memenuhi kewajibannya sesuai dengan UNIDROIT Model Law on Leasing dan Konvensi Cape Town adalah pembatalan perjanjian dan de-registrasi pesawat sesuai dengan IDERA (Irrevocable Deregistration and Export Request Authorization) oleh Lessor.
Leasing transactions are common commercial practice and is one of the main methods of aircraft procurement in Indonesia and around the world. Aircraft leasing agreements in Indonesia commonly have an international or cross-border characteristic and it is frequently using the another State as choice of law, and choice of forum. It is one of the reason why UNIDROIT Model Law was emerged. This law was made in purpose to review various ways to harmonize and coordinate the private law between the State. However, in case the lessee fails to fulfill the obligations (default), the lessor has the legal certainty to terminate the contracts and de-registration the aircraft pursuant to Cape Town Convention. This legal research is a normative-empirical legal research where the analysis relies on secondary data and supported by primary data. This thesis also includes an analysis on the implementation of finance lease based on UNIDROIT Model Law on Leasing and the Cape Town Convention. The author finds that out that the implementation of finance lease related to Aircraft Procurement of PT. Garuda Indonesia has complied with the provisions regulated under Unidroit Model Law and the Cape Town Convention, in terms of rights and obligations of Lessor and Lessee and Jurisdiction. The consequences if Lessee fails to fulfill its obligations based on Unidoit Model Law and Cape Town Convention are the termination of contract and the de-registration of the aircraft based on IDERA (Irrevocable Deregistration and Export Request Authorization) by Lessor.
