TINJAUAN YURIDIS PENDIRIAN BADAN USAHA MILIK DAERAH BERBENTUK PERSEROAN TERBATAS (STUDI KASUS PT SELO ADIKARTO DI PEMERINTAH KABUPATEN KULON PROGO)

Penelitian ini membahas mengenai tinjauan yuridis terhadap pendirian BUMD berbentuk PT, di mana penelitian ini bertujuan untuk menguraikan dan menganalisis prosedur pembentukan BUMD Pemerintah Kabupaten Kulon Progo yang berbentuk PT, yakni PT Selo Adikarto, serta menganalisis legalitas PT Selo Adikarto sebagai BUMD yang pendiriannya belum diatur dengan perda tentang pembentukan BUMD. Penelitian ini merupakan penelitian hukum normatif. Cara pengumpulan data dalam penelitian ini adalah studi dokumen dan wawancara. Studi dokumen diperoleh dengan cara inventarisasi bahan–bahan hukum, sedangkan wawancara diperoleh melalui wawancara terbuka dengan narasumber untuk memperoleh informasi secara langsung. Berdasarkan hasil analisis dapat diketahui bahwa pada tahun 2003, pembentukan BUMD Pemerintah Kabupaten Kulon Progo, yakni PT Selo Adikarto belum sesuai dengan prosedur pembentukan BUMD berbentuk PT berdasarkan peraturan perundang-undangan karena hanya diatur menggunakan perda tentang penyertaan modal, yakni Perda Kabupaten Kulon Progo Nomor 7 Tahun 2003 tentang Penyertaan Modal Dalam Rangka Pendirian Perusahaan Perseroan Daerah Bidang Produksi dan Perdagangan Hasil Asphalt Mixing Plant. Ketidaksesuaian prosedur pembentukan BUMD berbentuk PT ini disebabkan karena Pemerintah Kabupaten Kulon Progo salah dalam menafsirkan peraturan perundang-undangan sebelum membentuk perda dimaksud serta sistem pengawasan oleh Pemerintah Daerah DIY yang lemah karena kurang cermat dalam melakukan pengkajian terhadap perda dimaksud. Penelitian ini menujukkan bahwa proses yang dilalui dalam pembentukan PT Selo Adikarto tidak sesuai tahapan pembentukan BUMD berbentuk PT yang diatur dalam peraturan perundang-undangan sehingga secara formil, perda dimaksud cacat yuridis dan dapat dibatalkan (vernietigbaar). Berkaitan dengan kedudukan PT Selo Adikarto sebagai badan hukum, PT tersebut tetap legal karena pembentukannya telah sesuai dengan undang-undang yang mengatur tentang PT, sehingga kegiatan usaha yang telah dijalankan selama 14 (empat belas) tahun terakhir tetap sah.

This research is concerning the juridical review on the establishment of a BUMD in the form of PT, in which this study aims to describe and analyze the procedure of forming BUMD Government of Kulon Progo Regency in the form of PT, namely PT Selo Adikarto, and analyze the legality of PT Selo Adikarto as BUMD whose establishment has not been regulated in the local regulations on the establishment of BUMD. This research is considered as normative legal research. The data collective method for this research are document studies and interviews. Document study was obtained by inventory of legal materials, while interviews were obtained through open interviews with resource persons to obtain information directly. Base on analysis results it can be conclude that in 2003, the BUMD formation of Kulon Progo Regency Government, namely PT Selo Adikarto was not in accordance with procedures for the formation of BUMD in the form of PT based on legislation because it is only regulated using the regulation of capital participation, namely Perda Kulon Progo Number 7 Year 2003 regarding Equity Participation in the Framework of Establishment of Regional Company of Production and Trading of Asphalt Mixing Plant. The non-conformity of BUMD formation procedure in the form of PT is caused by the Government of Kulon Progo Regency has false interpretation of the legislation before forming the local regulation and monitoring system by Local Government of DIY which is consider as weak because it is not careful in conducting the examination of the local regulation. This research indicates that the process has been through in the formation of PT Selo Adikarto is not in accordance with the stages of forming a BUMD in the form of PT which is regulated within the legislation so that formally, the regional regulation is deemed as juridically invalid and can be null (vernietigbaar). In relation with the position of PT Selo Adikarto as a legal entity, the PT remains legitimate because its establishment is in accordance with the law which regulating the PT, so that the business activities that have been carried out for 14 (fourteen) years is consider as legitimate in the legal perspective.
